本文選題：注冊資本　切入點(diǎn)：認(rèn)繳登記制　出處：《學(xué)理論》2014年13期

【摘要】：《國務(wù)院機(jī)構(gòu)改革和職能轉(zhuǎn)變方案》,明確提出了要將公司注冊資本實繳登記制改為認(rèn)繳登記制,這是在我國《公司法》基礎(chǔ)上的突破,但是改革推進(jìn)的同時又為我國帶來了新的挑戰(zhàn)。公司資本制度涉及公司發(fā)起人及股東公司債權(quán)人等諸多利益相關(guān)者權(quán)益,注冊資本實繳登記制改為認(rèn)繳登記制,怎樣與現(xiàn)行的制度相融合,如何更好地保護(hù)債權(quán)人的利益,還需要在實踐中推進(jìn)。
[Abstract]:The "Plan for Institutional Reform and functional Transformation of the State Council" clearly proposes to change the registration system of the registered capital of a company into a subscription registration system, which is a breakthrough on the basis of the Company Law of our country.But at the same time, the reform has brought new challenges to our country.The company capital system involves the rights and interests of many stakeholders, such as the sponsors of the company and the creditors of the company. The registered capital paid-in registration system is changed into the subscription registration system. How to merge with the current system and how to better protect the interests of creditors,It also needs to be pushed forward in practice.
