【摘要】：公司僵局是指公司在存續(xù)運(yùn)行期間,由于股東、董事之間產(chǎn)生事故矛盾或利益沖突,致使公司的運(yùn)作機(jī)制趨于癱瘓的局面,而公司的股東會(huì)、董事會(huì)等管理層無(wú)法按照公司的運(yùn)行機(jī)制做出行之有效的管理決議,從而使矛盾激化,使公司無(wú)法正常運(yùn)行的一種狀態(tài)。導(dǎo)致公司僵局的出現(xiàn)是多方面原因共同作用的結(jié)果,僵局持續(xù)間會(huì)造成公司本身和相關(guān)主體的利益損失,造成巨大創(chuàng)傷。如果公司的僵局狀態(tài)不能有效通過(guò)公司的日常運(yùn)行策略來(lái)得到有效的解決,公司與公司股東的權(quán)益將會(huì)受到嚴(yán)重的危害.因此,探求公司僵局的司法救濟(jì)途徑就成為我國(guó)公司法研究的現(xiàn)實(shí)課題。 我國(guó)新《公司法》的出臺(tái),為解決公司僵局狀態(tài)提供了理論依據(jù),規(guī)定了公司司法解散這一有效手段。但新《公司法》提供的司法救濟(jì)途徑過(guò)于單一,規(guī)定也過(guò)于籠統(tǒng),操作性不強(qiáng),司法實(shí)踐困難。針對(duì)上述存在問(wèn)題,本文筆者通過(guò)系統(tǒng)的探究性分析,結(jié)合國(guó)內(nèi)外多家公司僵局的自救措施,總結(jié)了一系列先進(jìn)經(jīng)驗(yàn),深入分析了我國(guó)公司法所規(guī)定的公司僵局司法救濟(jì)制度及其缺陷,并根據(jù)我國(guó)預(yù)防和完善公司僵局司法救濟(jì)的有效措施,具有針對(duì)性的在公司各種僵局出現(xiàn)時(shí)采取多種方式進(jìn)行有效的司法救濟(jì),保護(hù)公司僵局中相關(guān)利益主體的合法權(quán)益。
[Abstract]:Corporate deadlock refers to the situation in which the operation mechanism of the company tends to be paralyzed because of the accident contradiction or conflict of interest between the shareholders and directors during the period of the company's existence and operation, and the shareholders' meeting of the company, The management, such as the board of directors, cannot make effective management resolutions according to the operating mechanism of the company, which intensifies the contradiction and makes the company unable to run normally. The emergence of the deadlock is the result of the joint action of many reasons. If the deadlock can not be effectively resolved through the daily operation strategy of the company, it will cause the loss of interests of the company itself and related subjects, and cause great trauma. The rights and interests of the company and its shareholders will be seriously endangered. Therefore, exploring the judicial remedy for the corporate deadlock has become a realistic subject in the study of corporate law in our country. The introduction of the new Company Law of our country provides a theoretical basis for resolving the deadlock of the company and prescribes the effective means of judicial dissolution of the company. However, the judicial relief provided by the new Company Law is too single and the provisions are too general. The operation is not strong, the judicial practice is difficult. In view of the above existing problems, the author sums up a series of advanced experiences through the systematic inquiry analysis, combining with the self-rescue measures of the deadlock of many companies at home and abroad. This paper deeply analyzes the judicial remedy system of corporate deadlock and its defects, and according to the effective measures to prevent and perfect the judicial remedy of corporate deadlock in our country, In order to protect the legitimate rights and interests of the relevant stakeholders in the corporate deadlock, various ways are taken to provide effective judicial relief.
