【摘要】：公司法人的獨(dú)立人格和股東的有限責(zé)任是現(xiàn)代公司制度的核心所在,從鼓勵(lì)投資的角度出發(fā),實(shí)現(xiàn)了投資者利益的最大化,公司憑借其獨(dú)立人格,在刺激投資,保護(hù)股東利益,促進(jìn)經(jīng)濟(jì)發(fā)展等方面發(fā)揮著特殊的作用。然而,公司人格獨(dú)立的濫用與絕對(duì)化,不可避免地?fù)p及到公司債權(quán)人利益與社會(huì)公共利益。新《公司法》對(duì)于公司人格否認(rèn)制度的引入,將人格否認(rèn)訴訟推向了司法實(shí)踐的舞臺(tái)。本文闡述了公司人格否認(rèn)制度的內(nèi)涵和適用條件,更從訴訟的角度對(duì)司法實(shí)踐中存在的如:適格的當(dāng)事人,法院的審慎適用,舉證責(zé)任分配,一人公司與非一人公司法律適用等問題進(jìn)行了探討。希望能夠給公司人格否認(rèn)之訴尋找一條較為理想的操作之路。
[Abstract]:The independent personality of corporate and the limited liability of shareholders are the core of the modern company system. From the angle of encouraging investment, it realizes the maximization of investors' interests. The company, with its independent personality, is stimulating investment and protecting the interests of shareholders. Promoting economic development plays a special role. However, the abuse and absolutization of corporate personality independence, Inevitably, the interests of the creditors and the public interests of the company will be damaged. The introduction of the system of denial of corporate personality in the New Company Law, This paper expounds the connotation and applicable conditions of the corporate personality denial system, and from the point of view of litigation, it makes a careful application of the suitable parties in the judicial practice. This paper discusses the distribution of burden of proof and the application of law between one-man company and non-one-man company, hoping to find a more ideal way of operation for the lawsuit of disavowal of corporate personality.
