【摘要】：有限責任公司股權轉讓相關制度是公司法的重要內容。公司法被視為具有公法性質的私法,公司法的這一特性使得股權轉讓制度不得不在國家強制與私法自治之間作選擇。公司股東對所持股權的自由轉讓是私法自治原則的體現,而有限責任公司的人合性特點又決定了股東對外轉讓股權時要受強制限制。什么情況采取什么原則,成為公司及其參與者最為關心的問題。關注有限責任公司股權轉讓的自由與限制問題,對保護中小股東的利益、促進公司穩(wěn)定發(fā)展等具有重要意義。 本論文從股權轉讓的概述入手,圍繞公司法相關規(guī)定,對有限責任公司股權轉讓自由與限制展開初步研究,界定了在什么情況下股權轉讓是自由的、在什么情況下要受到限制以及應當如何體現股權轉讓的自由與限制原則。 本論文正文共分三個部分。 第一部分為有限責任公司股權轉讓的概述,包含五個方面的內容:股權轉讓的概念、股權轉讓的分類、股權轉讓的主體、股權轉讓的性質、股權轉讓是要式行為。這一部分為全文提供了理論基礎。第二部分主要闡述的是一般情況下股權轉讓的自由與限制。在轉讓自由中,闡述的主要是公司股東之間對內轉讓自由;在轉讓限制中,著重闡述了對外轉讓的限制。另外,還闡述了章程約定和股東間特別約定對股權轉讓的限制。第三部分主要闡述的是特殊情況下(繼承、夫妻離婚、強制執(zhí)行)股權轉讓的自由與限制。 有限責任公司股權轉讓的自由與限制之間的界線把握很關鍵,限制過度會導致限制的無效,無法體現私法自治原則;過度的自由又破壞了公司的人合性。因此,實現股東權轉讓必須在公司人合性、自治原則之間尋找平衡,使公司能有效支配資源,追求公司利益的最大化。
[Abstract]:Limited liability company equity transfer system is an important content of company law. Company law is regarded as private law with the nature of public law. Because of this characteristic of company law, the system of equity transfer has to choose between state compulsion and private law autonomy. The free transfer of shares held by shareholders is the embodiment of the principle of private autonomy. However, the human nature of a limited liability company determines that shareholders should be subject to compulsory restrictions when transferring shares to other countries. What principles are to be adopted in what circumstances? It is of great significance to protect the interests of the minority shareholders and to promote the stable development of the company by paying close attention to the freedom and restriction of the transfer of the shares of the limited liability company. This paper starts with the outline of equity transfer, focusing on the relevant provisions of the Company Law, carries out a preliminary study on the freedom and limitation of equity transfer in limited liability companies, and defines the circumstances under which the transfer of equity is free. When to be restricted and how to embody the freedom and restriction principle of equity transfer. The text of this paper is divided into three parts. The first part is an overview of limited liability company equity transfer, including five aspects: the concept of equity transfer, the classification of equity transfer, the main part of equity transfer, the nature of equity transfer, The second part mainly elaborates on the freedom and limitation of equity transfer under general circumstances. In the freedom of transfer, it mainly expounds the freedom of internal transfer between shareholders of the company; In the transfer restriction, it focuses on the limitation of foreign transfer. In addition, it also expounds the restrictions on the transfer of shares by articles of association and special agreement between shareholders. The third part mainly deals with the special circumstances (inheritance, divorce of husband and wife), Enforcement) the freedom and restriction of equity transfer. It is very important to grasp the boundary between the freedom and restriction of the transfer of stock right of limited liability company. The excessive restriction will lead to the invalidation of the restriction, and it will not embody the principle of autonomy of private law, and the excessive freedom will destroy the unity of the person of the company. In order to realize the transfer of shareholders' rights, the balance must be found between the principles of corporate harmony and autonomy, so that the company can effectively dispose of the resources and pursue the maximization of the company's interests.
