【摘要】：通過分析完善我國股東派生訴訟制度對優(yōu)化我國公司治理結(jié)構(gòu)、抑制公司董事等高層的恣意及中小股東利益保護(hù)的必要性,提出了擴(kuò)大股東派生訴訟原告的范圍、簡化股東派生訴訟的前置程序及合理收取訴訟費(fèi)用等相關(guān)措施,以利于今后我國法治建設(shè)和公司立法的完善。
[Abstract]:Based on the analysis of the necessity of perfecting the shareholder derivative litigation system to optimize the corporate governance structure of our country, to restrain the high level of company directors and to protect the interests of the minority shareholders, the author proposes to expand the scope of the plaintiff in the shareholder derivative action. In order to simplify the pre-procedure of shareholder derivative action and to charge the litigation fee reasonably, it is beneficial to the construction of the rule of law and the perfection of the company legislation in the future.
