【摘要】：監(jiān)事會(huì)監(jiān)察權(quán)的合理及有效行使,是制衡事權(quán)力,確保公司合法經(jīng)營,保護(hù)股東和公司債權(quán)人權(quán)益和重要措施。為進(jìn)一步完善我國公司法中監(jiān)事會(huì)擴(kuò)大監(jiān)督權(quán)限,應(yīng)建立激勵(lì)監(jiān)事行使職權(quán)的機(jī)制,明確和強(qiáng)化監(jiān)事的責(zé)任。
[Abstract]:The reasonable and effective exercise of supervisory power of the board of supervisors is to check and balance the power of affairs, to ensure the lawful operation of the company, to protect the rights and interests of shareholders and creditors of the company, and to further improve the supervisory authority of the board of supervisors in our company law. It is necessary to establish a mechanism to motivate supervisors to exercise their functions and powers, and to clarify and strengthen the responsibilities of supervisors.
