【摘要】：我國《公司法》的調(diào)整對象為在我國境內(nèi)設(shè)立的有限責(zé)任公司和股份有限公司。在學(xué)習(xí)這兩大公司的過程中,必然涉及公司的高級職員。因此公司高級職員與公司的關(guān)系成為一個(gè)值得思考的問題。本文將公司的高級職員分為具股東身份的董事、監(jiān)事,董事會聘任的經(jīng)理、副經(jīng)理、財(cái)務(wù)負(fù)責(zé)人等和董事會、監(jiān)事會中的職工代表三類,進(jìn)而對高級職員與公司的關(guān)系進(jìn)行分析。具股東身份的董事、監(jiān)事是公司的股東,除了應(yīng)當(dāng)履行公司高級職員的義務(wù)外,還享有股東權(quán)利,應(yīng)履行股東義務(wù);由董事會聘任的經(jīng)理等高級職員與公司之間是一種勞動合同關(guān)系;董事會、監(jiān)事會中的職工代表本身是公司職工,經(jīng)公司職工選舉成為公司高級職員,與公司也是一種勞動合同關(guān)系。無論公司的高級職員從何產(chǎn)生,都在《公司法》的調(diào)整范圍內(nèi),應(yīng)當(dāng)遵守《公司法》及公司章程的規(guī)定。
[Abstract]:The object of adjustment of the Company Law of our country is the limited liability company and the joint stock limited company established in our country. In the course of studying these two companies, Therefore, the relationship between the company officers and the company becomes a question worth thinking about. In this paper, the officers of the company are divided into shareholder directors, supervisors, managers appointed by the board of directors, deputy managers, There are three types of employee representatives in the board of directors and the board of directors and the board of supervisors, and then the relationship between the senior staff and the company is analyzed. Directors with shareholder status are shareholders of the company. In addition to the obligations of the senior staff of the company, the supervisor shall perform the duties of the senior staff of the company. They also enjoy the rights of shareholders and shall perform their obligations; the senior staff members, such as the managers appointed by the board of directors, are in a labor contractual relationship with the company; and the representatives of the staff and workers on the board of directors and the supervisory board are themselves employees of the company, It is also a kind of labor contract relationship between the company and the company. No matter what the officer of the company comes from, it is within the scope of the adjustment of the Company Law, and shall abide by the provisions of the Company Law and the articles of Association of the company.
