【摘要】：基于吸引投資、提高德國有限責任公司這種企業(yè)組織形式國際競爭力的考量,同時為提高德國有限責任公司法規(guī)范公司改革及運營的靈活性、高效性,以應對法律主體競爭帶來的沖擊,德國《有限責任公司法》進行了深入而全面的現(xiàn)代化改革。改革的內容涉及有限責任公司設立程序的簡化,有限責任公司法定資本籌集與維持制度的優(yōu)化,企業(yè)主公司這一類新型有限公司形態(tài)的制度以及債權人保持規(guī)則而立法的整體性,以強化對公司債權人利益的法律保護等。
[Abstract]:In order to attract investment and enhance the international competitiveness of German limited liability companies as a form of enterprise organization, and in order to enhance the flexibility and efficiency of German limited liability company law in regulating the reform and operation of companies, In order to cope with the impact of competition among legal subjects, Germany's Limited liability Company Law has carried out a thorough and comprehensive modernization reform. The content of the reform involves the simplification of the procedure for the establishment of limited liability companies. The optimization of legal capital raising and maintenance system of limited liability company, the system of enterprise owner company, a new type of limited company form, and the integrity of creditor maintenance rules and legislation, in order to strengthen the legal protection of the interests of the creditors of the company, etc.
