【摘要】：《中國(guó)公司法修改草案建議稿》基本實(shí)現(xiàn)了提高公司法的可操作性以及尊重公司章程自治兩大目標(biāo),但在有限責(zé)任公司規(guī)定方面,仍存在改進(jìn)空間。草案應(yīng)取消股東最高人數(shù)限制、完善股權(quán)繼承異議制、禁止以尚未履行的勞務(wù)作為出資、承認(rèn)書面及電子表決方式,并在明確區(qū)分大小公司的基礎(chǔ)上構(gòu)造監(jiān)事制、職工董事制,并賦予章程自身塑造董事會(huì)與股東會(huì)權(quán)限關(guān)系的自由。
[Abstract]:The proposal on the revised draft of China's Company Law basically achieves the two goals of improving the operability of the Company Law and respecting the autonomy of the articles of association of the company, but in terms of the provisions of a limited liability company, There is still room for improvement. The draft should abolish the maximum number of shareholders, improve the system of dissent on equity succession, prohibit the use of unperformed services as capital contributions, and recognize written and electronic voting methods. And on the basis of clearly distinguishing large and small companies, the system of supervisors and employees' directors is constructed, and the articles of association itself are given the freedom to shape the relationship between board of directors and shareholders' meetings.
