【摘要】：股東的提案是股東針對應(yīng)當(dāng)由股東大會討論的事項(xiàng)所提出的具體議案。實(shí)際上，股東大會的召開過程也就是對一個個具體議案作出通過或不通過的決議的過程。列入股東大會議程的議案只有提交股東大會審議才可能被通過；沒有列入股東大會議程的議案不能提交股東大會討論，，自然也不可能被審議通過。因此，向股東大會提出議案是股東的一項(xiàng)十分重要的權(quán)利。本文分為四章：第一章主要是股東提案權(quán)的概述、立法緣由與功能；第二章從股東提案的內(nèi)容、行使和救濟(jì)三個方面介紹了國外的相關(guān)立法；第三章闡述了我國關(guān)于股東提案權(quán)的立法規(guī)定及立法缺陷；第四章從股東提案的內(nèi)容、行使和救濟(jì)三方面對我國的股東提案制度進(jìn)行了完善，以期使我國的股東提案制度早日步入正軌。
[Abstract]:A shareholder's proposal is a specific proposal made by a shareholder on a matter that should be discussed by the general meeting of shareholders. In fact, The convening process of the general meeting of shareholders is the process of adopting or not adopting one of the specific proposals. The bill that is on the agenda of the general meeting of shareholders can be adopted only if it is submitted to the general meeting of shareholders for consideration; Proposals not on the agenda of the shareholders' general meeting cannot be submitted to the shareholders' general meeting for discussion, and naturally cannot be considered and adopted. This paper is divided into four chapters: the first chapter is the summary of the shareholder's proposal right, the legislative reason and function, the second chapter is the content of the shareholder's proposal, the first chapter is the summary of the shareholder's proposal right, the legislative reason and the function, the second chapter is the content of the shareholder's proposal. The third chapter expounds the legislative provisions and legislative defects of the shareholder's proposal right in China; the 4th chapter introduces the content of the shareholder's proposal. In order to make the shareholder proposal system of our country on the right track as soon as possible, the shareholder proposal system of our country has been perfected from the aspects of exercise and relief.
