【摘要】：由于缺少公司法的明確規(guī)范,公司僵局糾紛影響著股東權(quán)利的實(shí)現(xiàn)、公司的生存狀況,成為公司法中較為復(fù)雜的糾紛。本文以一則典型案例入手來探尋解決這類糾紛的途徑。論文首先對(duì)公司僵局案面臨的法律困境進(jìn)行了解剖,接著,著重對(duì)該案件的實(shí)質(zhì)合理性進(jìn)行了分析,認(rèn)為應(yīng)當(dāng)作出解散公司的判決,并指出法院判決中存在的失當(dāng)之處。在此基礎(chǔ)上,分析了解決該問題的形式合理性,認(rèn)為應(yīng)當(dāng)對(duì)公司法第190條排除反對(duì)解釋�；诶婧饬康姆治�,在該案中允許解散公司是合適的。最后結(jié)合本案,對(duì)新公司法的相關(guān)條款進(jìn)行了分析,提出了相關(guān)建議。
[Abstract]:Due to the lack of clear norms of company law, the deadlock dispute affects the realization of shareholders' rights and the survival of the company. This paper begins with a typical case to explore the way to solve this kind of disputes. Firstly, the thesis dissects the legal dilemma faced by the corporate deadlock case, and then, Based on the analysis of the substantive rationality of the case, the author thinks that the judgment of dissolving the company should be made, and points out the malpractice existing in the judgment of the court. On this basis, the paper analyzes the formal rationality of solving the problem. Based on the analysis of interest measurement, it is appropriate to allow the dissolution of the company in this case. Finally, the article analyzes the relevant provisions of the new company law and puts forward some relevant suggestions.
