【摘要】：上市公司控制權(quán)是公司治理中的核心議題之一,上市公司控制權(quán)正當(dāng)行使與否直接關(guān)系到股東、公司及其他利益相關(guān)者的利益。本文以上市公司控制權(quán)行使的法律規(guī)制研究為主線,通過對(duì)上市公司控制權(quán)理論分析及中國上市公司股權(quán)結(jié)構(gòu)分析,指出中國現(xiàn)階段上市公司控制權(quán)的配置模式是控股股東公司控制權(quán)模式,因此中國現(xiàn)行《公司法》規(guī)制上市公司控制權(quán)行使的主要目標(biāo)是規(guī)制上市公司控股股東公司控制權(quán)的行使,并以此為基礎(chǔ)提出規(guī)制上市公司控制權(quán)行使的兩種思路:一種是從公司治理角度入手,從規(guī)制上市公司控制權(quán)本身著手,改善公司治理結(jié)構(gòu),為公司控制權(quán)的行使設(shè)定內(nèi)部制衡機(jī)制。而另一種思路則是從規(guī)制上市公司控制權(quán)濫用的具體法律制度構(gòu)建入手,制定完善的上市公司控制權(quán)行使的法律規(guī)制制度,防止上市公司控制權(quán)濫用,保障公司和中小股東的利益。本文分別通過對(duì)上市公司控制權(quán)配置及規(guī)制上市公司控制權(quán)濫用的具體法律制度構(gòu)建兩方面提出規(guī)制中國上市公司控制權(quán)行使的具體措施。在完善中國上市公司控制權(quán)配置方面,本文認(rèn)為應(yīng)堅(jiān)持股權(quán)保護(hù)原則、公司控制權(quán)相互制衡原則、利益相關(guān)者適當(dāng)參與原則,減少股東會(huì)公司經(jīng)營(yíng)決策職能,規(guī)制控股股東控制權(quán);擴(kuò)大董事會(huì)公司經(jīng)營(yíng)決策職能,賦予董事會(huì)適當(dāng)?shù)墓究刂茩?quán);加強(qiáng)監(jiān)事會(huì)制度建設(shè),擴(kuò)大監(jiān)督職能。在防止上市公司控制權(quán)濫用具體制度構(gòu)建方面,本文認(rèn)為應(yīng)通過完善股東大會(huì)表決方式、引入衡平居次原則等方面構(gòu)建完善的防止上市公司控制權(quán)濫用具體制度,保護(hù)上市公司股東和利益相關(guān)者利益。
[Abstract]:The right of control of listed companies is one of the core issues in corporate governance, and the exercise of the right of control of listed companies is directly related to shareholders. The main line of this paper is the study on the legal regulation of the exercise of the right of control of listed companies, through the theoretical analysis of the control rights of listed companies and the analysis of the equity structure of listed companies in China. It is pointed out that the mode of allocation of control rights of listed companies in China at present is the mode of controlling rights of controlling shareholders. Therefore, the main goal of China's current Company Law to regulate the exercise of control rights of listed companies is to regulate the exercise of corporate control rights by controlling shareholders of listed companies. On this basis, two ideas are put forward to regulate the exercise of the control rights of listed companies. One is to improve the corporate governance structure from the perspective of corporate governance and from the perspective of regulating the control rights of listed companies. The other way of thinking is to establish a perfect legal regulation system for the exercise of control rights of listed companies, starting with the construction of specific legal system to regulate the abuse of control rights of listed companies. To prevent the abuse of control rights of listed companies, In this paper, the author puts forward two ways to regulate the exercise of control rights of listed companies in China through the allocation of control rights of listed companies and the construction of specific legal systems to regulate the abuse of control rights of listed companies. In improving the allocation of control rights of listed companies in China, This paper holds that we should adhere to the principle of equity protection, the principle of mutual checks and balances of corporate control rights, the principle of appropriate participation of stakeholders, reduce the decision-making functions of shareholders, regulate the control rights of controlling shareholders, and expand the decision-making functions of the board of directors. In order to prevent the abuse of the control rights of listed companies, this paper holds that we should improve the voting method of shareholders' general meeting, and strengthen the construction of supervisory board system and expand the supervisory function. This paper introduces the principle of equalization and other aspects to establish a perfect system to prevent the abuse of control rights of listed companies and to protect the interests of shareholders and stakeholders of listed companies.
