【摘要】：《公司法》第七十一條第二款后句下異議股東的購(gòu)買(mǎi)應(yīng)當(dāng)不可拒絕且應(yīng)按照同等條件來(lái)購(gòu)買(mǎi),因此實(shí)際上是一項(xiàng)優(yōu)先購(gòu)買(mǎi)權(quán)。結(jié)合第七十一條第三款的規(guī)定,《公司法》第七十一條下實(shí)際上是設(shè)置了兩項(xiàng)優(yōu)先購(gòu)買(mǎi)權(quán),為協(xié)調(diào)其相互關(guān)系應(yīng)對(duì)相關(guān)條文做限縮解釋。對(duì)于這兩項(xiàng)優(yōu)先購(gòu)買(mǎi)權(quán)的效力分析,則必須注意到有限責(zé)任公司股權(quán)變動(dòng)模式的重要影響和前提性意義。按照債權(quán)效力和物權(quán)效力的傳統(tǒng)劃分,《公司法》第七十一條下的優(yōu)先購(gòu)買(mǎi)權(quán)都僅具有債權(quán)效力。
[Abstract]:The purchase of a dissenting shareholder under the second sentence of the second paragraph of Article 71th shall not be refused and shall be purchased under the same conditions, Therefore, it is actually a preemptive right. Combined with the provisions of the third paragraph of Article 71th, under Article 71th of the Company Law, there are actually two preemptive rights. In order to coordinate their mutual relations, the relevant articles should be interpreted in a restrictive manner. The effectiveness of these two preemptive rights is analysed, In accordance with the traditional division of the validity of creditor's rights and the validity of real right, the preemptive right under Article 71th of Company Law only has the effect of creditor's rights.
