【摘要】：正多層次資本市場(chǎng)的建設(shè)需要法律制度的創(chuàng)新。2013年年底,我國(guó)全國(guó)人大財(cái)經(jīng)委員會(huì)已正式啟動(dòng)了證券法修改工作。2005年,協(xié)調(diào)公司法、證券法的修改,提高了兩法修改的質(zhì)量。在全面深入改革的今日,兩法修改的聯(lián)動(dòng)更具有新意,更顯得迫切。證券法的改革與公司法的改革有許多共同的任務(wù),協(xié)調(diào)進(jìn)行是完成這些共同任務(wù)的關(guān)鍵。公司法與證券法修改應(yīng)協(xié)調(diào)同步《中國(guó)人民共和國(guó)公司法》(以下簡(jiǎn)稱"公司法")與《中國(guó)人民共和國(guó)證券法》(以下簡(jiǎn)稱"證券法")的互動(dòng)與立法協(xié)調(diào),是公司法與證券法關(guān)系的必然反映。因此,在把握公司法與證券法
[Abstract]:The construction of multi-level capital market needs the innovation of legal system. At the end of 2013, the Finance and Economics Committee of the National people's Congress of our country has officially started the work of amending the securities law. In 2005, the company law was coordinated. The revision of the securities law has improved the quality of the amendment of the two laws. In today's comprehensive and in-depth reform, the linkage between the two laws is more innovative and urgent. The reform of the securities law and the reform of the company law have many common tasks. Coordination is the key to accomplishing these common tasks. The Company Law of the people's Republic of China (hereinafter referred to as the Company Law) and the Securities Law of the people's Republic of China (hereinafter referred to as the "Company Law") should be coordinated and synchronized with the Securities Law of the people's Republic of China (. Hereinafter referred to as "Securities Law") the interaction and legislative coordination. It is an inevitable reflection of the relationship between company law and securities law.
