【摘要】:內(nèi)部承包合同是指企業(yè)與企業(yè)內(nèi)部人員之間簽訂的,關(guān)于一定時間內(nèi),企業(yè)一定范圍的經(jīng)營管理權(quán)限劃分,和有關(guān)權(quán)利義務(wù)分擔(dān)的協(xié)議。該協(xié)議創(chuàng)設(shè)的法律關(guān)系有兩個方面:于內(nèi)部,企業(yè)和內(nèi)部員工進(jìn)行了權(quán)利義務(wù)的劃分;于外部該員工以企業(yè)的名義從事生產(chǎn)經(jīng)營,與第三方產(chǎn)生一定的權(quán)利義務(wù)關(guān)系。企業(yè)內(nèi)部承包合同是市場自主選擇的結(jié)果,尤其被中、小型有限責(zé)任公司廣泛適用。近年來,企業(yè)內(nèi)部市場化背景下的SBU經(jīng)營模式的出現(xiàn),使得大型股份有限公司中也更廣泛的適用企業(yè)內(nèi)部承包。但是對于何為企業(yè)內(nèi)部承包,企業(yè)內(nèi)部承包的性質(zhì)、類型、效力和司法處理意見至今都未有統(tǒng)一的規(guī)定。關(guān)于內(nèi)部承包效力的爭論,多著眼于其與《公司法》中關(guān)于公司“三權(quán)分立”層級架構(gòu)的規(guī)定是否存在沖突之上,而沒有從市場管理和企業(yè)運(yùn)行的角度,分析如何更好的發(fā)揮企業(yè)內(nèi)部承包在經(jīng)濟(jì)活動中的作用,亦未討論如何設(shè)置較為完善的企業(yè)內(nèi)部承包合同規(guī)則體系。因此,在當(dāng)前企業(yè)內(nèi)包日趨普遍的背景下,明晰企業(yè)內(nèi)部承包合同的性質(zhì)、完善企業(yè)內(nèi)部糾紛處理規(guī)范更加具有緊迫性。第一部分,文章從企業(yè)內(nèi)部承包合同的產(chǎn)生背景開始論述,剖析企業(yè)內(nèi)部承包的產(chǎn)生根源、發(fā)揮的作用和現(xiàn)實(shí)意義。明確內(nèi)部承包合同的概念和類型,并提出本文主要研究的對象為企業(yè)獨(dú)立型內(nèi)部承包合同。提出管理型內(nèi)部承包因?yàn)閷儆谄髽I(yè)的內(nèi)部管理措施,不具有外部性,屬于法律不應(yīng)干涉的公司自治范疇,因此對其的分析采取簡單略過的方式。第二部分,文章對當(dāng)前學(xué)術(shù)界有關(guān)企業(yè)內(nèi)部承包合同效力的觀點(diǎn)進(jìn)行了簡要的介紹,并提出自己的觀點(diǎn)。學(xué)界觀點(diǎn)主要分為三種:“無效說”、“有效說”和“折衷說”。分析的重點(diǎn)是其是否違反了公司法的強(qiáng)制性規(guī)范。筆者首先從《公司法》的相關(guān)規(guī)范是否為“效力性強(qiáng)制性規(guī)范”入手,進(jìn)而從企業(yè)內(nèi)部承包合同對公司的影響是否與《公司法》的基本原則和精神相悖的角度進(jìn)行分析,最終筆者認(rèn)為《公司法》關(guān)于“股東會”、“董事會”、“監(jiān)事會”三會設(shè)置的規(guī)定并非強(qiáng)制性規(guī)范,企業(yè)內(nèi)部承包合同是一種全新的經(jīng)營模式,符合公司制度的精神也符合市場需求,不應(yīng)否定其意義和效力。第三部分,企業(yè)內(nèi)部承包合同的異質(zhì)性分析。探究其效力的前提是了解企業(yè)內(nèi)部承包合同與其他民事行為或者其他合同的不同之處,對其進(jìn)行異質(zhì)性分析。主要針對和其極為類似的掛靠、代理、承包經(jīng)營責(zé)任制等進(jìn)行對比,在比較中研究企業(yè)內(nèi)部承包合同的特殊性。第四部分,根據(jù)搜集到的案例資料,針對實(shí)務(wù)中對企業(yè)內(nèi)部承包合同糾紛司法處理意見不統(tǒng)一,相關(guān)部門出臺的規(guī)定不統(tǒng)一的情形,筆者認(rèn)為,應(yīng)當(dāng)加快構(gòu)建審理此類糾紛的司法解釋,并提出了完善企業(yè)內(nèi)部承包合同適用的若干建議。與學(xué)理界關(guān)于內(nèi)部承包合同效力的爭論不同,筆者更加關(guān)注如何將該經(jīng)營模式更好、更加規(guī)范地運(yùn)用于市場,如何提供司法保障,該種保障應(yīng)當(dāng)不僅包括產(chǎn)生糾紛后的救濟(jì),還應(yīng)包括制度設(shè)計(jì)層面的預(yù)防,即提供一定的原則性、倡導(dǎo)性規(guī)范,盡量減少企業(yè)內(nèi)部承包合同采用過程中的漏洞,盡可能地規(guī)避風(fēng)險(xiǎn)。
