【摘要】：隨著我國(guó)市場(chǎng)經(jīng)濟(jì)的不斷深入發(fā)展，股東在公司的經(jīng)營(yíng)過(guò)程中發(fā)揮了越來(lái)越重要的作用。由于我國(guó)現(xiàn)行《公司法》對(duì)股東資格的規(guī)定具有一定缺陷，，以致于實(shí)踐中產(chǎn)生了許多《公司法》上所明確規(guī)定的股東以外的“特殊股東”，包括隱名、掛名、冒名股東等等。而且,近年來(lái),掛名股東現(xiàn)象更是隨之增多，這在司法實(shí)踐中產(chǎn)生了許多現(xiàn)實(shí)問(wèn)題。顧名思義，掛名股東是指在公司中具有登記于股東名冊(cè)、記載于公司章程并且進(jìn)行工商登記等形式要件，但是實(shí)際上并沒(méi)有出資的“股東”。之所以會(huì)產(chǎn)生掛名股東問(wèn)題，不僅有法律上的原因，也有出資人個(gè)人的原因�！豆痉ā窙](méi)有對(duì)股東資格認(rèn)定提出明確的標(biāo)準(zhǔn)，是產(chǎn)生這一問(wèn)題的根源所在，而經(jīng)濟(jì)利益往往是誘發(fā)掛名股東糾紛的主因。由于掛名股東具有成為股東的形式要件，而實(shí)際出資人具有成為股東的實(shí)質(zhì)要件。當(dāng)公司盈利時(shí)，掛名股東與實(shí)際出資人都主張確認(rèn)自己的股東身份，而當(dāng)公司出現(xiàn)負(fù)債時(shí)，雙方互相推脫、各執(zhí)己見(jiàn)，均主張否定自己的股東身份。 而不同的法院對(duì)此類案件的處理也是依據(jù)不同的標(biāo)準(zhǔn)，甚至是相對(duì)立的標(biāo)準(zhǔn)。雖然《最高人民法院關(guān)于適用〈中華人民共和國(guó)公司法〉若干問(wèn)題的規(guī)定（三）》通過(guò)條文形式規(guī)定了掛名股東與實(shí)際出資人爭(zhēng)議的解決方式。但是，掛名股東問(wèn)題日益復(fù)雜，所涉及的主體也越來(lái)越多，關(guān)于掛名股東問(wèn)題的爭(zhēng)議仍然在持續(xù)中。理論界現(xiàn)在對(duì)于掛名股東資格認(rèn)定持有兩種代表性觀點(diǎn)，即實(shí)質(zhì)要件說(shuō)與形式要件說(shuō)。兩種觀點(diǎn)各有利弊，在處理實(shí)際問(wèn)題時(shí)，應(yīng)該綜合考慮，切忌一刀切。所以，無(wú)論是在理論上還是實(shí)務(wù)中，都迫切需要完善掛名股東問(wèn)題的立法。 掛名股東作為參與市場(chǎng)經(jīng)濟(jì)的一個(gè)主體，就應(yīng)該享有相應(yīng)的權(quán)利和履行一定的義務(wù)。但是掛名股東又不同于《公司法》中所規(guī)定的股東，它具有一定的特殊性。筆者認(rèn)為掛名股東主要享有自愿選擇是否簽訂協(xié)議、請(qǐng)求確認(rèn)股東資格、獲得資產(chǎn)收益、要求實(shí)際出資人履行義務(wù)的權(quán)利、知情權(quán)以及披露實(shí)際出資人身份的權(quán)利。同時(shí)，掛名股東應(yīng)該履行遵守協(xié)議規(guī)定、維護(hù)實(shí)際出資人利益和公司利益的義務(wù)以及受信義務(wù)。 所有對(duì)掛名股東問(wèn)題的研究歸根結(jié)底都是為了解決實(shí)際問(wèn)題，也就是劃分責(zé)任。與掛名股東產(chǎn)生責(zé)任劃分糾紛的主體主要是指實(shí)際出資人、其他股東、債權(quán)人這三類。筆者認(rèn)為責(zé)任認(rèn)定時(shí)要采用“內(nèi)外有別”原則。也就是掛名股東與實(shí)際出資人的內(nèi)部糾紛要采用實(shí)質(zhì)要件說(shuō)。但是，掛名股東與其他主體的責(zé)任認(rèn)定要采用形式要件說(shuō)。這樣，才能更好地解決掛名股東責(zé)任認(rèn)定問(wèn)題。 因此，本文筆者從掛名股東的概念、法律特征及成因入手，區(qū)分了成為股東的各種要件的證明效力和評(píng)析了理論界的兩種代表觀點(diǎn)，分析了現(xiàn)行《公司法》的立法缺陷，從而探求掛名股東資格認(rèn)定與責(zé)任劃分的原則與標(biāo)準(zhǔn)，以期待對(duì)完善立法，指導(dǎo)司法實(shí)踐起到一定的參考作用。
[Abstract]:With the continuous development of the market economy in China, the shareholders play a more and more important role in the business process of the company. Since the provisions on the qualification of shareholders of China's current "company law" has some defects, so in practice produced a lot of "company law" on the clear provisions of the shareholders "special shareholders", including the dormant, nominal, false shareholders etc.. Moreover, in recent years, nominal shareholderphenomenon has been increased, which generated a lot of practical problems in the judicial practice. As the name implies, the nominal shareholder refers to a registration in the register of shareholders, recorded in the articles of association and business registration and other formal requirements in the company, but did not actually funded "shareholders". The reason of the nominal shareholders, not only for legal reasons, there are reasons of personal investment. The "company law" did not identify a clear standard of shareholder qualification, is the root cause of this problem, and economic interests often is a major cause of nominal shareholder disputes. Because the nominal shareholders become shareholders in the form of elements, and the actual investor to become shareholders of the substantial elements. When profits, the nominal shareholders and the actual investor advocate confirm the identity of its own shareholders, when the company into debt, mutual shirk, should deny their each one sticks to his own viewpoint, the identity of the shareholders.
