【摘要】：企業(yè)法律顧問制度是現(xiàn)代企業(yè)適應(yīng)市場(chǎng)化、全球化經(jīng)濟(jì)條件下的一種新型管理制度。它對(duì)防范企業(yè)法律風(fēng)險(xiǎn)、改進(jìn)企業(yè)管理模式和推動(dòng)依法治企等都具有重大的意義。它也是現(xiàn)代企業(yè)謀求管理和文化創(chuàng)新、實(shí)現(xiàn)跨越式發(fā)展的重要制度支撐,是現(xiàn)代企業(yè)制度的重要組成部分。 本論文結(jié)合酒鋼集團(tuán)法律顧問制度的文件性規(guī)定,通過考察集團(tuán)公司各部門及各分子公司對(duì)法律顧問制度的實(shí)際落實(shí)情況,初步澄清了酒鋼集團(tuán)法律顧問制度的運(yùn)行現(xiàn)狀及存在的主要問題。并以此為切入點(diǎn),對(duì)我國(guó)國(guó)有企業(yè)法律顧問制度中普遍存在的問題進(jìn)行了初步探討,從而提出了具體可行的解決思路：首先,是確立總企業(yè)法律顧問制度,在實(shí)踐過程中逐步形成適合企業(yè)的總法律顧問制度體系：其次,是規(guī)范企業(yè)法律顧問制度的履行程序,完善企業(yè)法律顧問制度的事前程序,健全企業(yè)法律顧問制度的過程控制程序；最后,是建立企業(yè)法律顧問制度的常效檢查機(jī)制,加強(qiáng)企業(yè)法律顧問的業(yè)務(wù)培訓(xùn)工作,提高企業(yè)法律顧問的專業(yè)素質(zhì)等。 總之,在充分調(diào)研的基礎(chǔ)上,依照梳理問題、分析問題和解決問題的邏輯思路,該論文深入分析了我國(guó)企業(yè)法律顧問制度的運(yùn)行情況、存在的問題以及理論上所必須解決的問題。可以說,我的觀點(diǎn)既豐富了我國(guó)企業(yè)法律顧問制度的理論寶庫,又為我國(guó)企業(yè)法律顧問制度的實(shí)踐提供了切實(shí)可行的指導(dǎo)。
[Abstract]:Enterprise legal consultant system is a new management system under the condition of market-oriented and global economy. It is of great significance to prevent the legal risks of enterprises, to improve the mode of enterprise management and to promote the management of enterprises according to law. It is also an important institutional support for modern enterprises to seek management and cultural innovation and realize leapfrog development. It is also an important part of modern enterprise system. Combined with the documented regulations of the legal advisory system of Jiugang Group, this paper investigates the actual implementation of the legal adviser system in various departments and subsidiaries of the Group. The operation status and main problems of the legal advisory system of Jiugang Group are clarified. Taking this as the starting point, this paper makes a preliminary discussion on the common problems existing in the legal advisory system of state-owned enterprises in our country, and puts forward some concrete and feasible solutions: first, to establish the general enterprise legal advisory system. In the process of practice, the system of general legal adviser is gradually formed. Secondly, it is to standardize the implementation procedure of the legal advisory system of the enterprise and to perfect the prior procedure of the legal adviser system of the enterprise. Finally, it is necessary to establish the regular inspection mechanism of the enterprise legal consultant system, strengthen the business training work of the enterprise legal consultant, and improve the professional quality of the enterprise legal consultant, etc. In a word, on the basis of full investigation, according to the logic thinking of combing problems, analyzing problems and solving problems, this paper deeply analyzes the running situation of the legal consultant system of enterprises in our country. Existing problems and problems that must be solved in theory. It can be said that my viewpoint not only enriches the theoretical treasure-house of our country's enterprise legal adviser system, but also provides practical guidance for the practice of our country's enterprise legal adviser system.
