論場外金融衍生產(chǎn)品交易欺詐犯罪——以美國《證券法》和《證券交易法》為視角

【摘要】：場外金融衍生產(chǎn)品交易是一把高收益、高風(fēng)險的"雙刃劍",在交易過程中欺詐行為屢見不鮮,本文以美國《證券法》和《證券交易法》對欺詐犯罪的規(guī)定為視角,依據(jù)刑法謙抑原則,探討了場外金融衍生產(chǎn)品交易的反欺詐規(guī)則,明確什么樣的行為是欺詐侵權(quán)行為;然后要從欺詐侵權(quán)行為中進(jìn)一步分離出犯罪構(gòu)成要素,確定哪些欺詐侵權(quán)行為構(gòu)成欺詐犯罪,并介紹了相關(guān)的刑罰規(guī)定。
[Abstract]:OTC derivatives trading is a "double-edged sword" with high returns and high risks. Fraud is common in the course of trading. This paper takes the provisions of the Securities Act and the Securities Exchange Act of the United States as the perspective of fraud crime. According to the principle of modesty of criminal law, this paper probes into the anti-fraud rules of over-the-counter financial derivative trading, and clarifies what kind of behavior is fraudulent infringement. Then it is necessary to separate out the elements of the crime from the fraud tort, determine which fraud tort constitutes the fraud crime, and introduce the relevant penalty provisions.
