【摘要】：自2013年2月份貴州茅臺(tái)酒銷售公司和宜賓五糧液酒類銷售有限責(zé)任公司被罰后,縱向壟斷協(xié)議受到越來越多法律人的關(guān)注。面對(duì)我國(guó)市場(chǎng)競(jìng)爭(zhēng)所呈現(xiàn)出的各種問題,特別是由縱向壟斷協(xié)議引起的法律問題以及它在市場(chǎng)經(jīng)濟(jì)中的適用引起了學(xué)者們的熱議。面對(duì)縱向壟斷協(xié)議在市場(chǎng)運(yùn)行中帶來的諸多問題,本文以貴州茅臺(tái)公司和宜賓五糧液公司被罰一案為線索,以美國(guó)完善的、成功的反托拉斯法律規(guī)定及其相關(guān)的判例為主導(dǎo),結(jié)合我國(guó)縱向壟斷協(xié)議的法律規(guī)定,從以下幾方面展開文章的寫作。本文第一章立足中美縱向壟斷協(xié)議基本知識(shí)架構(gòu),即以分析縱向壟斷協(xié)議的概念、特征、效果分析為主,為后文的理論知識(shí)做鋪墊。第二章直接從中國(guó)和美國(guó)對(duì)縱向壟斷協(xié)議法律規(guī)制入手,明確兩國(guó)在此方面差異,以探索美國(guó)的成功立法經(jīng)驗(yàn)以及成熟的立法技術(shù)為契機(jī),為文章第三章的啟示以及意見提出做好準(zhǔn)備。第三章是第一章和第二章的升華,也是本文的關(guān)鍵之筆,本文的創(chuàng)新點(diǎn)也在此章彰顯。本文在對(duì)中美縱向壟斷協(xié)議法律規(guī)制做出比較的情況下,結(jié)合美國(guó)在縱向壟斷協(xié)議法律規(guī)制方面的成功經(jīng)驗(yàn)以及成熟技術(shù),對(duì)完善我國(guó)縱向壟斷協(xié)議法律規(guī)制制度,彌補(bǔ)我國(guó)縱向協(xié)議的不足,提出了完善的建議,為我國(guó)縱向壟斷協(xié)議法律規(guī)制制度的發(fā)展做一點(diǎn)自己的貢獻(xiàn)。
[Abstract]:Since 2013 February Kweichow Moutai wine sales company and Yibin Wuliangye liquor sales limited liability company fined after the vertical monopoly agreement by more and more people's attention. The legal problems facing China's market competition show, especially the legal problems caused by the vertical monopoly agreement and its application in the market economy has caused the scholars hot. Facing a lot of problems in the vertical monopoly agreement in the operation of the market, this paper Kweichow Moutai company and Wuliangye company in Yibin sent a case as a clue, to the United States to improve the success of the Adams, antitrust law and its related legal precedent is dominant, with the law, the agreement vertical monopoly in China. Start writing the article from the following aspects. The first chapter of this paper based on the basic knowledge structure of Sino US vertical monopoly agreements, namely the concept, analysis of the vertical monopoly agreement features effect Analysis, in order to pave the way for the theory of knowledge. The second chapter directly from the China and American legal regulation on the monopoly agreements with clear differences between the two countries in this regard, the United States in order to explore the successful legislative experience and mature legislative technology as an opportunity to prepare for the third chapter of revelation and suggestions. The third chapter is the first chapters second and sublimation, is the key of the pen, the innovation of this paper is to highlight in this chapter. In this paper we make the comparison of the legal regulation of Sino US vertical monopoly agreement, combined with the successful experience of the United States on the legal regulation of the monopoly in the longitudinal association and mature technology, to improve the legal regulation system of the vertical monopoly agreement in our country, make up for the lack of vertical agreements, puts forward the suggestions, make a little contribution to the development of the legal regulation system of the vertical monopoly agreement in our country.
