【摘要】： 兩大法系各主要國(guó)家大都承認(rèn)了利他合同是對(duì)合同相對(duì)性原則的突破,并相繼將利他合同制度確立為基本合同制度。對(duì)于利他合同,中國(guó)民法的理論界與立法實(shí)踐有明顯步調(diào)不一致現(xiàn)象。雖然中國(guó)民法理論界主流觀點(diǎn)已承認(rèn)利他合同是對(duì)合同相對(duì)性原則的突破,也認(rèn)為利他合同中第三人的直接請(qǐng)求權(quán)是直接從合同中取得;但在我國(guó)的立法實(shí)踐中卻仍對(duì)利他合同持保守態(tài)度,即使在《合同法草案》中利他合同已被納入,但最終的生效版本還是將利他合同摒棄,以致我國(guó)的現(xiàn)行法一直沒(méi)有對(duì)利他合同的一般規(guī)定。此外,有些學(xué)者一方面承認(rèn)第三人直接依據(jù)合同取得權(quán)利,但主張第三人獨(dú)立請(qǐng)求權(quán)的行使條件是第三人做出接受的意思表示,其實(shí)質(zhì)是對(duì)利他合同的理解還停留在“承諾說(shuō)”的理論上。因此我們有必要對(duì)利他合同制度的第三人權(quán)利取得問(wèn)題進(jìn)行詳細(xì)分析。 立法上的過(guò)于保守態(tài)度會(huì)影響先進(jìn)理論制度在經(jīng)濟(jì)社會(huì)生活中發(fā)揮積極作用。這種狀況的形成,根本原因在于我們對(duì)形成于西方的制度或原理的起源認(rèn)識(shí)不清。本文通過(guò)對(duì)民法發(fā)達(dá)的德國(guó)利他合同制度進(jìn)行探討,從理論和立法兩個(gè)層面進(jìn)行考察,對(duì)利他合同制度的正當(dāng)性進(jìn)行分析,并在此基礎(chǔ)上對(duì)利他合同在中國(guó)的本土化提出建議,以期明確利他合同在中國(guó)的法律地位、賦予合同利益第三人獨(dú)立請(qǐng)求權(quán),對(duì)完善中國(guó)的合同制度以及未來(lái)民法典的制定提供參考。
[Abstract]:Most of the major countries in the two major legal systems have recognized altruistic contracts as a breakthrough of the principle of relativity of contracts, and have successively established the altruistic contract system as the basic contractual system. Although the mainstream view of Chinese civil law theory has recognized that altruistic contract is a breakthrough to the principle of relativity of contract, It is also believed that the direct claim of the third party in the altruistic contract is obtained directly from the contract, but in the legislative practice of our country, the altruistic contract is still conservative, even though the altruistic contract has been included in the draft contract Law. However, the final effective version still rejects the altruistic contract, so that the current law of our country has no general provisions on altruistic contract. In addition, some scholars on the one hand admit that the third party acquires the right directly under the contract. However, the condition for the third party to exercise its independent claim is that the third party makes an expression of intention to accept it. Its essence is that the understanding of altruistic contract is still confined to the theory of "commitment theory", so it is necessary for us to analyze in detail the problem of obtaining the rights of the third party in the altruistic contract system. Too conservative a legislative attitude will affect the positive role of advanced theoretical systems in economic and social life. The fundamental reason is that we do not have a clear understanding of the origin of the institutions or principles formed in the West. This paper explores the German altruistic contract system, which is developed in the civil law, from the two aspects of theory and legislation. On the basis of analyzing the legitimacy of altruistic contract system, the author puts forward some suggestions on localization of altruistic contract in China, in order to clarify the legal status of altruistic contract in China and endow the third party with independent claim right. To perfect China's contract system and the formulation of the future civil code to provide a reference.
