【摘要】：在我國經(jīng)濟(jì)高速發(fā)展的社會背景下，有限責(zé)任公司作為最普遍地經(jīng)濟(jì)組織存在于社會生產(chǎn)生活中。有限責(zé)任公司的設(shè)立到成立，是其取得民事行為能力的必經(jīng)階段。一直以來，我們將研究重點都主要放在了有限責(zé)任公司成立后的相關(guān)制度上，而忽略了對有限責(zé)任公司設(shè)立階段法律制度的研究和完善。賀某因華龍公司拖欠其工程款致使其權(quán)益遭受損害而向法院提起訴訟。在案件審理過程中，爭議雙方在華龍山莊裝修項目工程款由誰負(fù)責(zé)這個問題上各執(zhí)已見，，由此引發(fā)出了有限責(zé)任公司設(shè)立階段由發(fā)起人訂立的合同的責(zé)任承擔(dān)問題。另外，爭議雙方對于劉某是否應(yīng)當(dāng)承擔(dān)責(zé)任及承擔(dān)何種責(zé)任這個問題的意見分歧較大。對于公司設(shè)立階段發(fā)起人代表公司簽訂的合同應(yīng)當(dāng)予以確認(rèn)，其責(zé)任應(yīng)當(dāng)由成立后的公司承擔(dān)，就公司股東濫用有限責(zé)任逃避個人或公司債務(wù)的行為，該股東應(yīng)當(dāng)向債權(quán)人承擔(dān)連帶責(zé)任。在公司設(shè)立階段我國商事制度很不完善，導(dǎo)致在此階段出現(xiàn)的糾紛日趨增多，我們只有完善公司設(shè)立階段的相關(guān)法律制度，才能起到對該階段交易的最大的保護(hù)作用。公司的有限責(zé)任是公司股東僅以其出資限額承擔(dān)責(zé)任，目的在于降低公司股東的投資風(fēng)險，增加投資者的積極性，使公司在其全部資產(chǎn)下對外承擔(dān)責(zé)任。為了抑制不當(dāng)行為人濫用公司有限責(zé)任損害他人利益，在符合法定原則的情形下應(yīng)當(dāng)靈活運(yùn)用公司法人否認(rèn)制度來保障當(dāng)事人的合法權(quán)益。
[Abstract]:Under the social background of rapid economic development in China, limited liability company, as the most common economic organization, exists in social production and life. The establishment of limited liability company to its establishment is the necessary stage for its ability to acquire civil behavior. We have mainly focused our research on the relevant systems of limited liability companies after their establishment. While neglecting the study and perfection of the legal system of the establishment stage of a limited liability company. He filed a lawsuit in court because of the damage to his rights and interests caused by the Hua long Company defaulting on its project funds. In the course of the case, The two parties to the dispute have held different views on the question of who should be responsible for the renovation project of Hualong Heights, which has raised the issue of the liability of the contract concluded by the sponsors during the establishment stage of the limited liability company. In addition, The two parties to the dispute have different views on whether and what kind of liability Liu should bear. The contract signed on behalf of the company by the initiator at the stage of establishment of the company should be confirmed, and its liability should be borne by the company after its establishment. As to the behavior of the shareholders of the company abusing limited liability to evade personal or corporate debts, the shareholder should bear joint and several liability to the creditors. At the stage of the establishment of the company, the commercial system of our country is not perfect, which leads to the increasing number of disputes in this stage. Only by perfecting the relevant legal system of the company's establishment stage can we play the greatest protective role in the transaction of that stage. The limited liability of the company is that the shareholders of the company bear the liability only by the limit of its capital contribution. The purpose is to reduce the investment risk of the shareholders of the company, increase the enthusiasm of the investors, and make the company bear the external liability under all its assets, in order to restrain the improper doers from abusing the limited liability of the company to harm the interests of others, In accordance with the legal principle, the legal person denial system should be used flexibly to protect the legitimate rights and interests of the parties.
