【摘要】：隨著經(jīng)濟(jì)全球化和區(qū)域經(jīng)濟(jì)一體化趨勢(shì)的不斷加深,在國(guó)際經(jīng)貿(mào)往來中占據(jù)重要位置的外商投資作用日益凸顯。而在影響外商投資的諸多因素中,東道經(jīng)濟(jì)國(guó)的投資法律制度是最核心的部分之一。通過對(duì)比中國(guó)和老撾的投資法律體系,特別是準(zhǔn)入制度的異同,一方面有助于為中國(guó)企業(yè)開展東盟投資提供戰(zhàn)略考量和理論參考;另一方面,能夠?yàn)閮蓢?guó)完善投資準(zhǔn)入制度的完善給予明確的提示。2009年老撾頒布了最新的《老撾投資法》,統(tǒng)一了國(guó)內(nèi)投資法和國(guó)外投資法;2015年中國(guó)商務(wù)部發(fā)布的《外國(guó)投資法草案征求意見稿》將"三資法"整合為一致的投資法律規(guī)范體系。在準(zhǔn)入制度方面,中國(guó)和老撾都按照國(guó)際慣例施行了前國(guó)民待遇原則和負(fù)面清單管理模式,在負(fù)面(否定)清單中規(guī)定了禁止、限制、允許和鼓勵(lì)的投資領(lǐng)域、行業(yè)和投資地區(qū)。在申請(qǐng)程序上,中國(guó)和老撾也分別設(shè)施了外商投資受理、審批和管理機(jī)構(gòu)。此外,為確保投資安全,中國(guó)還在審批程序中加入了安全審批環(huán)節(jié)。準(zhǔn)入制度是政府對(duì)于外資經(jīng)營(yíng)主體進(jìn)入國(guó)民經(jīng)濟(jì)所作出的規(guī)范和控制,其目的在于保障國(guó)家經(jīng)濟(jì)安全,調(diào)控和管理本國(guó)的經(jīng)濟(jì)狀況,從而塑造穩(wěn)定、良好和不斷增長(zhǎng)的經(jīng)濟(jì)形勢(shì)。因而,在對(duì)比兩國(guó)投資準(zhǔn)入制度的基礎(chǔ)上,分析兩國(guó)準(zhǔn)入制度的優(yōu)勢(shì)和不足,在嘗試提出相關(guān)建議的同時(shí),能夠?yàn)槲磥砀皟蓢?guó)投資的企業(yè)熟悉相關(guān)準(zhǔn)入制度、行業(yè)政策和注意事項(xiàng)等,提供必要理論參照。
[Abstract]:With the deepening of economic globalization and regional economic integration, the role of foreign investment, which occupies an important position in international economic and trade exchanges, has become increasingly prominent. In many factors affecting foreign investment in the host country economic investment legal system is one of the most important part. By comparing the Chinese and Laos investment legal system, especially the similarities and differences of access system, on the one hand to provide strategic considerations and theoretical reference for carrying out investment for Chinese enterprises; on the other hand, can improve the perfection of investment access system for both countries to give a clear reminder. In 2009, Laos issued the latest Laos investment law, which unified the domestic investment law and the foreign investment law. In 2015, China's Ministry of Commerce issued the draft of the draft foreign investment law, which incorporated the "three capital law" into a consistent investment legal norm system. In terms of access system, China and Laos have implemented the former national treatment principle and the negative list management mode according to the international practice. In the negative (negative) list, they have stipulated prohibited, restricted, permitted and encouraged investment fields, industries and investment areas. In the application process, China and Laos also have respectively facilities for foreign investment acceptance, approval and management. In addition, in order to ensure the safety of investment, China has also joined the security examination and approval procedure in the approval process. The access system is the regulation and control of the government on the entry of foreign capital into the national economy. Its purpose is to protect the national economic security, regulate and manage the economic conditions of our country, so as to create a stable, good and growing economic situation. Therefore, on the basis of comparing the two investment access system, analyzes the advantages and disadvantages of the two access system, trying to put forward relevant suggestions at the same time, to be familiar with the related industry access system, policy and precautions for the future to two investment companies, to provide the necessary theoretical reference.
