【摘要】：近年來(lái),隨著自身實(shí)力的不斷增強(qiáng),中國(guó)部分企業(yè)紛紛加入了海外并購(gòu)的浪潮當(dāng)中來(lái),其中能源企業(yè)的表現(xiàn)最為突出,不論在并購(gòu)的數(shù)額上還是在成功率方面都可以算是各企業(yè)之最,充當(dāng)著中國(guó)企業(yè)海外并購(gòu)的主力軍角色。但這些海外并購(gòu)活動(dòng)到底可以給能源企業(yè)帶來(lái)怎樣的效應(yīng),還得接受理論方面的考證。本文運(yùn)用案例研究的方法,以中海油并購(gòu)尼克森為例,對(duì)能源企業(yè)并購(gòu)后的效應(yīng)進(jìn)行了一定的探析,提出了政府應(yīng)該加大對(duì)能源企業(yè)海外并購(gòu)后期整合的關(guān)注力度,企業(yè)應(yīng)該對(duì)自身的并購(gòu)活動(dòng)事先做好全方位的考慮,并購(gòu)后更要注重提高整合效益的可行性建議。
[Abstract]:In recent years, with the continuous strengthening of their own strength, some Chinese enterprises have joined the wave of overseas mergers and acquisitions, among which the energy enterprises have shown the most outstanding performance. Whether in terms of the amount of M & A or the success rate, it can be regarded as the largest among the enterprises, acting as the main force of Chinese enterprises in overseas mergers and acquisitions. But what kind of effect can these overseas M & A activities bring to energy companies? In this paper, using the method of case study, taking CNOOC's merger and acquisition of Nexen as an example, the effect of energy enterprises' merger and acquisition has been analyzed to a certain extent. The paper puts forward that the government should pay more attention to the integration of energy enterprises in the later period of overseas mergers and acquisitions, and the enterprises should give full consideration to their own M & A activities in advance, and pay more attention to the feasibility suggestions of improving the efficiency of integration after mergers and acquisitions.
