【摘要】:2008年末爆發(fā)于美國的國際金融危機重創(chuàng)了全球經(jīng)濟,隨著危機的蔓延,實體經(jīng)濟開始受損,經(jīng)濟衰退的第二波開始出現(xiàn)。金融危機第一波沖擊的是金融業(yè)或者說是虛擬經(jīng)濟,對我國工業(yè)計算機行業(yè)影響不大,尚可置身事外,但是第二波的到來則讓我國工業(yè)計算機也感到了寒冬。中國工業(yè)計算機行業(yè)經(jīng)過近20年的高速發(fā)展,涌現(xiàn)出一大批優(yōu)秀的企業(yè),目前銷售額過億的企業(yè)就有5家,然而歐債危機引爆的世界范圍內(nèi)的經(jīng)濟低迷對國內(nèi)工業(yè)計算機市場產(chǎn)生了巨大的影響,加上國內(nèi)緊縮的政策調(diào)控和出口的疲軟,使得國內(nèi)市場增長趨緩,各大工業(yè)計算機制造廠商的毛利率急降,同業(yè)惡性競爭加劇,產(chǎn)業(yè)結構日趨不合理。以大陸工業(yè)計算機排名第一的研祥智能為例,2011年研祥智能全年的銷售額為11.1億人民幣,較2010年下降13%,而其銷售成本則由2010年的42,100,000元增加到2011年的50,500,000元,增幅為20%其雇傭的人員數(shù)量亦由2010年的2359人縮減至2011年的1935人(以上數(shù)據(jù)均來自研祥智能未經(jīng)審計的2011年財務報表)。從行業(yè)發(fā)展的角度來看,考慮到內(nèi)外部環(huán)境因素,行業(yè)整合已經(jīng)不可避免,隨之而來的是大規(guī)模的企業(yè)兼并。本文分析了當前工業(yè)計算機形勢:國際金融危機對我國工業(yè)計算機行業(yè)影響較嚴重,工業(yè)計算機業(yè)對內(nèi)面臨著同業(yè)過度競爭,對外面臨臺灣和歐美廠商的“圍剿”普遍生存艱難。而工業(yè)計算機企業(yè)的特點是:市場目前處于充分自由競爭階段;地域優(yōu)勢優(yōu)于規(guī)模效應;雖然屬于高科技行業(yè)但是利潤率嚴重縮水,超過100%以上的企業(yè)增長率難以再現(xiàn)。因此本文認為:為了打破當前的不利局面,增強企業(yè)核心競爭力,合理優(yōu)化產(chǎn)業(yè)結構,工業(yè)計算機企業(yè)必須走橫向并購的道路。本文依據(jù)并購整合理論,分析了并購整合的特點,得出我國工業(yè)計算機企業(yè)橫向并購整合時應該注意的幾個問題:根據(jù)市場的變化重新定位市場;并購整合的根本目的是要提升企業(yè)的核心競爭力;并購后的如何進行公司治理、運營管理;并購后的領導力如何向團隊有效滲透;并購后的企業(yè)文化如何整合等。
[Abstract]:In the United States at the end of 2008 the outbreak of the international financial crisis hit the global economy, with the spread of the crisis, the real economy was damaged, the second wave of economic recession began. The first wave of the impact of the financial crisis is the financial industry or a virtual economy, on China's computer industry has little effect, can stay out, but the second wave let the arrival of China's computer industry has also felt the cold of winter. China industrial computer industry after nearly 20 years of rapid development, the emergence of a large number of enterprises, the current sales of billions of dollars of enterprises have 5, but the European debt crisis detonated the worldwide economic downturn on the domestic industrial computer market has had a huge impact plus, the weak domestic tightening policy and export, the domestic market growth slowed down, the industrial computer manufacturer's gross margin fell, vicious competition in the industry Increased, the industrial structure is becoming more reasonable. EVOC Intelligent industrial computer in mainland China ranked first in 2011 as an example, EVOC Intelligent sales throughout the year to 1 billion 110 million yuan, down 13% compared to 2010, but its sales costs increased from 42100000 yuan in 2010 to 50500000 yuan in 2011, an increase of 1935 the number of 20% of its employees from 2359 in 2010 down to 2011 (the above data are from EVOC Intelligent without 2011 audit of financial statements). From the perspective of the development of the industry, taking into account the internal and external environmental factors, industry consolidation has been unavoidable, followed by a large-scale merger. This paper analyzes the current situation: the impact of international industrial computer the financial crisis on China's industrial computer industry is serious, the industrial computer industry to face the excessive competition industry, foreign manufacturers facing Taiwan and Europe and the United States "encirclement "Universal survival difficult. While the industrial computer enterprise is: the market is currently in full free competition stage; geographical advantage is better than the scale effect; although of high-tech industry, but the profit margin shrunk, more than 100% of the growth rate of enterprises is difficult to reproduce. So this thesis thinks: in order to break the current unfavorable situation, enhance the core competitiveness of enterprises, reasonable optimize the industrial structure, the industrial computer enterprises must follow the road. On the basis of horizontal merger merger integration theory, analyzes the characteristics of mergers and acquisitions, should pay attention to several issues that the integration of horizontal merger of China's industrial computer: according to the change of the market re positioning the market; the fundamental purpose of integration is to enhance the core competitiveness of enterprises; how to carry out the corporate governance, operation and management after the merger; after the merger to the leadership team Infiltration; how to integrate the enterprise culture after the merger and acquisition.
