【摘要】：董事會(huì)作為公司治理的核心,是公司的重要的監(jiān)督和決策機(jī)構(gòu),其治理模式對(duì)績(jī)效有著重要的意義,作為連接股東和經(jīng)營(yíng)者的橋梁,其運(yùn)作效率直接關(guān)系到企業(yè)績(jī)效及相關(guān)者的利益,建立合理科學(xué)的董事會(huì)成為現(xiàn)代公司治理的必然要求。目前,大量學(xué)者對(duì)董事會(huì)特征與績(jī)效水平的關(guān)系做了實(shí)證研究,然而較少關(guān)注到對(duì)績(jī)效波動(dòng)的影響。當(dāng)前,我國(guó)旅游業(yè)快速發(fā)展,已成為國(guó)民經(jīng)濟(jì)中新的增長(zhǎng)點(diǎn),但由于旅游業(yè)具有多變性和復(fù)雜性,旅游企業(yè)需要及時(shí)準(zhǔn)確的做出反應(yīng),以確�？�(jī)效的穩(wěn)定,因而建立合理的董事會(huì)治理結(jié)構(gòu)迫在眉睫。作為我國(guó)旅游行業(yè)發(fā)展的“領(lǐng)頭羊”,旅游上市公司的業(yè)績(jī)狀況不僅代表本公司的經(jīng)營(yíng)狀況,也展示著整個(gè)旅游行業(yè)的發(fā)展現(xiàn)狀,并會(huì)進(jìn)一步推動(dòng)我國(guó)旅游業(yè)的發(fā)展。本研究以此背景為基礎(chǔ),選取旅游上市公司為研究對(duì)象,探索董事會(huì)特征對(duì)績(jī)效波動(dòng)的影響。 本選題的研究目的：(1)通過對(duì)國(guó)內(nèi)外企業(yè)績(jī)效評(píng)價(jià)以及我國(guó)旅游上市公司績(jī)效評(píng)價(jià)相關(guān)文獻(xiàn)進(jìn)行整理、評(píng)述,在前人研究的基礎(chǔ)上,科學(xué)構(gòu)建旅游上市公司績(jī)效評(píng)價(jià)指標(biāo)體系；(2)在建立指標(biāo)體系的基礎(chǔ)上,對(duì)我國(guó)滬深上市的A股旅游上市公司績(jī)效及績(jī)效波動(dòng)指數(shù)進(jìn)行計(jì)算分析；(3)考察董事會(huì)特征與績(jī)效波動(dòng)之間的關(guān)系；(4)根據(jù)董事會(huì)特征與績(jī)效波動(dòng)的顯著性關(guān)系情況,提出相關(guān)建議及對(duì)策,為決策者提供參考。 本選題的研究過程：(1)提出問題：旅游上市公司績(jī)效成為大眾關(guān)注的焦點(diǎn)。由于證券市場(chǎng)的變幻莫測(cè),董事會(huì)治理成為公司治理的核心,因此,從董事會(huì)治理的角度探索改善績(jī)效波動(dòng)的方法；(2)分析問題：將國(guó)內(nèi)外董事會(huì)特征對(duì)績(jī)效的影響、董事會(huì)特征對(duì)績(jī)效波動(dòng)的影響的文獻(xiàn)分進(jìn)行梳理、分析與總結(jié),結(jié)合旅游行業(yè)的特點(diǎn),綜合運(yùn)用理論和方法,構(gòu)建旅游上市公司績(jī)效評(píng)價(jià)體系,進(jìn)而選取18家旅游上市公司2003—-2010年的數(shù)據(jù),運(yùn)用因子分析,計(jì)算旅游上市公司績(jī)效總得分及盈利能力因子、償債能力因子、發(fā)展能力因子、營(yíng)運(yùn)能力因子的得分,并通過計(jì)算每個(gè)企業(yè)因子得分的標(biāo)準(zhǔn)差,得到績(jī)效波動(dòng)指數(shù)�？紤]到董事會(huì)治理的時(shí)滯性,選取樣本公司2002—2009年對(duì)董事會(huì)特征,借助Excel、SPSS17.0等統(tǒng)計(jì)軟件,通過回歸分析,以績(jī)效波動(dòng)為被解釋變量,董事會(huì)特征為解釋變量,企業(yè)規(guī)模、負(fù)債水平為控制變量,檢驗(yàn)董事會(huì)特征對(duì)績(jī)效波動(dòng)的影響；(3)解決問題：根據(jù)旅游上市公司董事會(huì)對(duì)績(jī)效波動(dòng)的影響關(guān)系,從上市公司自身以及政府角度提出了改善企業(yè)績(jī)效的建議及對(duì)策。 本選題的研究結(jié)論：(1)董事會(huì)規(guī)模與績(jī)效波動(dòng)呈顯著的正U關(guān)系,董事會(huì)人數(shù)在6—9人時(shí),績(jī)效最穩(wěn)定,過大或過小都會(huì)引起績(jī)效的波動(dòng),規(guī)模過小,團(tuán)體容易滋生個(gè)人主義,導(dǎo)致決策產(chǎn)生偏誤：規(guī)模過大,團(tuán)體決策的成果通常是品均化、折衷化的結(jié)果,過于中庸的決策會(huì)影響對(duì)績(jī)效作用的發(fā)揮；(2)董事會(huì)兩職設(shè)置與績(jī)效波動(dòng)負(fù)相關(guān),兩職分離能夠更好的穩(wěn)定企業(yè)績(jī)效；相反,若采取兩職合一,董事長(zhǎng)的權(quán)利過于集中,容易產(chǎn)生極好或極壞的決策；(3)獨(dú)立董事規(guī)模與績(jī)效波動(dòng)負(fù)相關(guān),但獨(dú)立董事比例與績(jī)效波動(dòng)正相關(guān),且影響程度遠(yuǎn)大于規(guī)模的增加帶來的穩(wěn)定程度,總體來看,我國(guó)旅游上市公司獨(dú)立董事制度并不合理,獨(dú)立董事比例大但并沒有發(fā)揮顯著的作用；(4)董事會(huì)參會(huì)人數(shù)與績(jī)效波動(dòng)正相關(guān),參會(huì)人數(shù)越多,績(jī)效波動(dòng)越大,參會(huì)人數(shù)多,每個(gè)人都希望發(fā)言,為了節(jié)約時(shí)間,往往會(huì)舍棄激進(jìn)的策略,導(dǎo)致會(huì)議的程序化；(5)董事會(huì)會(huì)議頻率與績(jī)效波動(dòng)關(guān)系不顯著,會(huì)議次數(shù)的顯著性并沒有顯現(xiàn)出來；(6)以年薪表示的董事會(huì)薪酬與績(jī)效波動(dòng)負(fù)相關(guān),提高董事會(huì)激勵(lì)能夠起到穩(wěn)定企業(yè)績(jī)效的作用；(7)獨(dú)立董事津貼與績(jī)效波動(dòng)關(guān)系不顯著。旅游上市公司對(duì)獨(dú)立董事的激勵(lì)并沒有起到穩(wěn)定績(jī)效的作用。 本研究的創(chuàng)新點(diǎn)：(1)在研究思路上,考慮了績(jī)效穩(wěn)定性的重要作用,分析旅游上市公司董事會(huì)特征對(duì)績(jī)效波動(dòng)的影響；(2)在數(shù)據(jù)分析上,以多指標(biāo)構(gòu)建綜合性的績(jī)效指數(shù),確保數(shù)據(jù)分析的完整性,同時(shí)考慮到董事會(huì)治理的時(shí)滯性,運(yùn)用回歸分析檢驗(yàn)董事會(huì)特征與下一年績(jī)效波動(dòng)指數(shù)的關(guān)系；(3)在研究結(jié)論上系統(tǒng)分析了旅游上市公司董事會(huì)特征與績(jī)效波動(dòng)的線性關(guān)系和二次函數(shù)關(guān)系,得到了適合旅游上市公司的董事會(huì)特征值,并提出了相應(yīng)的董事會(huì)結(jié)構(gòu)調(diào)整的建議。
[Abstract]:As the core of corporate governance , the board of directors is an important supervision and decision - making organization of the company . Its governance model is of great significance to the performance . As a bridge for connecting shareholders and operators , the efficiency of its operation is directly related to the performance of the enterprise and the interests of the stakeholders . The purpose of this research is : ( 1 ) To summarize and comment on the performance evaluation of domestic and foreign enterprises and the relevant literatures about the performance evaluation of tourism listed companies in China ; ( 2 ) to build the performance evaluation index system of tourism listed companies on the basis of the previous research ; ( 2 ) to analyze the performance and performance fluctuation index of listed A - share tourism companies listed in Shanghai and Shenzhen on the basis of establishing the index system ; ( 3 ) to examine the relationship between the characteristics of the board of directors and the performance fluctuation ; and ( 4 ) to put forward relevant suggestions and countermeasures according to the characteristics of the board of directors and the performance fluctuation , and provide reference for decision makers . ( 4 ) There is a negative correlation between the number of directors and the fluctuation of performance ; ( 2 ) the ratio of the board meeting to the performance fluctuation is negative , the significance of the meeting times is not obvious ; ( 6 ) The independent director ' s allowance is not significant with the performance fluctuation . The innovation point of this research : ( 1 ) In the research thinking , considering the important function of the performance stability , the paper analyzes the influence of the characteristics of the board of directors of the tourism listed company on the performance fluctuation , and ( 2 ) analyzes the relationship between the characteristics of the board of directors of the tourism listed company and the performance fluctuation index by using the regression analysis on the data analysis .
