【摘要】：經(jīng)濟(jì)組織研究是巴澤爾產(chǎn)權(quán)分析框架的重要應(yīng)用。巴澤爾從商品產(chǎn)權(quán)屬性化與分割化的特征事實(shí)出發(fā),得到組織是對(duì)所有權(quán)被分割的實(shí)體管理的重要結(jié)論。為了使資產(chǎn)凈值最大化,除了應(yīng)當(dāng)對(duì)產(chǎn)權(quán)實(shí)施必要的限制外,還應(yīng)當(dāng)對(duì)變化性進(jìn)行合理的配置,以使帶來更大變化性的個(gè)人對(duì)其行為提供擔(dān)保。由于變化性的分配是合同的主要內(nèi)容,組織可以被視為一組由股權(quán)資本擔(dān)保的合同的集合,擔(dān)保功能決定著企業(yè)的規(guī)模。巴澤爾基于其獨(dú)特的產(chǎn)權(quán)分析框架的研究不僅是對(duì)企業(yè)理論與新制度經(jīng)濟(jì)學(xué)的豐富與發(fā)展,也為不完全合約理論奠定了良好的微觀基礎(chǔ)。
[Abstract]:The study of economic organization is an important application of Basel property analysis framework. Starting from the fact that the property rights of goods are characterized by the attribute and division of the property right, Bazer draws an important conclusion that organization is the management of the entity whose ownership is divided. In order to maximize the net asset value, in addition to the necessary restrictions on property rights, we should allocate the variability reasonably so that the individuals who bring about greater change can guarantee their behavior. Because the variable distribution is the main content of the contract, the organization can be regarded as a set of contracts guaranteed by equity capital. The guarantee function determines the scale of the enterprise. Basel's research based on his unique property right analysis framework not only enriches and develops the firm theory and the new institutional economics, but also lays a good micro foundation for the incomplete contract theory.
