微信購物合同相關(guān)主體與內(nèi)容研究

【摘要】:隨著智能手機(jī)的開發(fā),相應(yīng)出現(xiàn)了適用智能手機(jī)使用的各種應(yīng)用軟件,其不僅可以在電腦系統(tǒng)上使用,同時(shí)也可以在智能移動(dòng)端上使用。騰訊公司繼QQ聊天工具之后又相應(yīng)開發(fā)了微信軟件。微信軟件以聊天功能為主同時(shí)伴隨著其他附屬功能,“朋友圈”便是其中之一。隨著智能手機(jī)的普及和微信軟件的廣泛應(yīng)用,其功能不再被動(dòng)的僅限于開發(fā)者給出的選項(xiàng),而是被微信注冊(cè)者或使用者“開發(fā)”出了新的用途——在微信朋友圈中售賣商品。使用微信進(jìn)行的購物有多種,比如,微信公眾號(hào)購物、“發(fā)現(xiàn)”功能下的購物,這兩種購物是通過網(wǎng)頁鏈接跳轉(zhuǎn)至第三方購物平臺(tái)進(jìn)行的購物,不是真正使用微信本身進(jìn)行的購物,真正的微信購物是指微信朋友圈購物。由于微信本身并非以購物功能為主導(dǎo),因此,買賣雙方當(dāng)事人在使用微信朋友圈進(jìn)行購物時(shí),缺乏相應(yīng)的交易流程技術(shù)支持,比如,一方面沒有如其它專門性購物網(wǎng)站的固定的合同文本,另一方面,在出現(xiàn)可退款理由時(shí),無“申請(qǐng)退款”的電子功能,同時(shí)由于網(wǎng)絡(luò)交易的非面對(duì)面性,導(dǎo)致在實(shí)際交易中,容易出現(xiàn)合同主體不明確、內(nèi)容不明晰的問題。本文就此展開討論,以明確微信購物合同的主體和內(nèi)容,保障合同的順利進(jìn)行。本文首先,從微信購物合同的含義和問題出發(fā),闡釋什么是微信購物合同和微信購物合同存在的問題。關(guān)于微信購物合同的含義,包括內(nèi)涵和外延兩個(gè)方面。在內(nèi)涵上,微信購物僅指通過微信朋友圈進(jìn)行的購物;在外延上,微信購物合同不同于傳統(tǒng)合同和電子合同。其次,從微信購物合同的主體——買賣雙方當(dāng)事人,及相關(guān)主體——微信平臺(tái)出發(fā),闡釋微信購物合同主體應(yīng)當(dāng)具備的資格、注冊(cè)者與使用者不為同一人時(shí)的主體身份確認(rèn)和微信平臺(tái)在交易中的地位。關(guān)于微信購物合同的主體問題,微信購物作為民事活動(dòng)的一部分,微信購物合同的主體符合法律對(duì)于民事主體的要求,即在主體方面沒有特殊的限制,相對(duì)于商事主體來說比較廣泛。對(duì)于微信購物合同的身份,包括微信注冊(cè)者和微信使用者,在不同交易情況下微信購物合同的主體不同。再次,從微信購物的特點(diǎn)出發(fā),闡釋了買賣雙方當(dāng)事人和微信平臺(tái)的特殊權(quán)利和義務(wù)。關(guān)于微信購物合同的特殊權(quán)利問題,根據(jù)微信購物合同的特點(diǎn),買方的特殊權(quán)利包括:信息舉報(bào)權(quán)、憑證索取權(quán)、拒絕收貨權(quán)。賣方的特殊權(quán)利包括:信息獲取權(quán);拒絕賠付權(quán);賠償追索權(quán)。微信平臺(tái)在交易中的特殊權(quán)利包括:強(qiáng)制刪除權(quán);信息審查權(quán);交易監(jiān)控權(quán)。關(guān)于微信購物合同的特殊義務(wù)問題,根據(jù)微信購物中買賣雙方當(dāng)事人的實(shí)際交易流程和交易習(xí)慣。買方的特殊義務(wù)包括:截圖告知義務(wù);發(fā)圖確認(rèn)義務(wù)。賣方的特殊義務(wù)包括:物流通知義務(wù);原因回復(fù)義務(wù);強(qiáng)制退款義務(wù);宣傳詢問義務(wù)。微信平臺(tái)在交易中的特殊義務(wù)包括:及時(shí)處理義務(wù);信息披露義務(wù)。最后,根據(jù)上述問題的分析和探討提出了相應(yīng)的針對(duì)微信購物合同相關(guān)主體行為的思考。在規(guī)范微信購物合同相關(guān)主體的行為方面,包括買賣雙方當(dāng)事人的行為規(guī)范和微信平臺(tái)的規(guī)范。對(duì)于當(dāng)事人來說,當(dāng)事人在合同履行前、中、后要約束自己的行為以保障合同能夠順利履行。微信平臺(tái)方面,需要設(shè)置嚴(yán)密的安全信息、注冊(cè)實(shí)名制、嚴(yán)禁微信號(hào)轉(zhuǎn)讓以及對(duì)微信平臺(tái)加強(qiáng)監(jiān)督。通過對(duì)微信購物合同的主體和內(nèi)容進(jìn)行探討和分析,不僅有利于解決微信購物合同中的一些問題,同時(shí)也有利于保障合同當(dāng)事人的合法權(quán)益。
[Abstract]:With the development of smart phones, a variety of applications for smart phones have appeared, which not only can be used in the computer system, but also can be used on the intelligent mobile terminal. After the Tencent Inc QQ chat tool, the WeChat software is developed accordingly. The WeChat soft ware is mainly accompanied by other affiliate with the chat function. Function, "circle of friends" is one of them. With the popularity of smartphones and the wide application of WeChat software, its functionality is no longer passive only to the options given by developers, but by WeChat registrants or users "developing" new uses - selling goods in the WeChat circle of friends. The use of WeChat has many kinds of shopping. For example, the WeChat public shopping, "discovery" function of shopping, these two kinds of shopping are through the web link to the third party shopping platform shopping, not the real use of WeChat itself shopping, the real WeChat shopping is the WeChat circle shopping. First, from the meaning and problems of the WeChat shopping contract, this article explains what is the existence of WeChat shopping contract and the WeChat shopping contract. The meaning of WeChat shopping contract, including the connotation and extension of two aspects. In the connotation, WeChat shopping only refers to the shopping through the WeChat circle; in the extension, the WeChat shopping contract is different from the traditional contract and the electronic contract.
