【摘要】：我國慈善組織的治理機(jī)制由行政立法確定,參照民法的法人基本制度確立了慈善組織法人治理機(jī)制。但由于法人制度是以營利性公司法人為藍(lán)本制定,因此對(duì)慈善組織的所有者、理事會(huì)、監(jiān)事會(huì)的行為合法性和恰適性等問題產(chǎn)生了理論分歧,在實(shí)踐中則滋生各種不良行為。借鑒域外立法和實(shí)踐經(jīng)驗(yàn),我們可以在民法體系上擬制所有人以確定權(quán)利人對(duì)理事會(huì)再定位以明晰其職責(zé)和成員義務(wù),撤銷監(jiān)事會(huì)并重構(gòu)監(jiān)督機(jī)關(guān),同時(shí)培育信義義務(wù)體系和自由競爭環(huán)境,由此構(gòu)建我國慈善組織的治理機(jī)制。
[Abstract]:The governance mechanism of charitable organizations in China is determined by administrative legislation, and the corporate governance mechanism of charitable organizations is established by reference to the basic legal person system of civil law. However, since the legal person system is formulated on the basis of the legal person of the for-profit company, there are theoretical differences on the behavior legitimacy and appropriateness of the owner, the board of directors and the board of supervisors of the charitable organization, which breed various bad behaviors in practice. With reference to foreign legislation and practical experience, we can set up the owner in the civil law system in order to determine the repositioning of the right holder to the board of directors in order to clarify their duties and obligations of membership, to abolish the board of supervisors and to restructure the supervisory organ. At the same time, the system of fiduciary obligation and the environment of free competition are cultivated, and the governance mechanism of charitable organizations in our country is constructed.
