【摘要】:本文以企業(yè)基金會(huì)行業(yè)的實(shí)踐問(wèn)題和立法現(xiàn)狀為切入點(diǎn),以市場(chǎng)準(zhǔn)入制度為主線展開(kāi)論述,并對(duì)構(gòu)建和完善我國(guó)企業(yè)基金會(huì)的市場(chǎng)準(zhǔn)入法律制度提出了一系列具體的構(gòu)想。在整體結(jié)構(gòu)上,從企業(yè)基金會(huì)的概念界定、市場(chǎng)準(zhǔn)入制度的基本內(nèi)容入手,分析了我國(guó)相關(guān)立法的現(xiàn)狀、不足及原因,并從立法模式和基本內(nèi)容兩個(gè)方面將我國(guó)現(xiàn)行立法與德國(guó)、美國(guó)和臺(tái)灣地區(qū)立法相比較,對(duì)完善我國(guó)現(xiàn)行立法提出了一些借鑒意見(jiàn)。由此引出了本文的重點(diǎn),構(gòu)建以《慈善事業(yè)促進(jìn)法》為基本法,以《基金會(huì)管理?xiàng)l例》為單行法的企業(yè)基金會(huì)法律體系,以此為基礎(chǔ),完善企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入的法律制度。 除引言外,本文一共分為四個(gè)部分: 第一部分,企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度概述。首先介紹了學(xué)界對(duì)企業(yè)基金會(huì)的概念界定情況,給出了筆者關(guān)于企業(yè)基金會(huì)的概念界定,并分析了企業(yè)基金會(huì)相較于其他類型非公募基金會(huì)的特殊性。在此基礎(chǔ)上從市場(chǎng)主體準(zhǔn)入和公益產(chǎn)品準(zhǔn)入兩個(gè)方面,對(duì)企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度的具體內(nèi)容進(jìn)行了論述,并在立法方面介紹了與此相關(guān)的三種準(zhǔn)入原則。 第二部分,我國(guó)企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度的立法現(xiàn)狀和存在的問(wèn)題。該部分從法律體系、設(shè)立程序、財(cái)產(chǎn)要件、組織機(jī)構(gòu)要件、從業(yè)人員要件、投資市場(chǎng)準(zhǔn)入要件、涉外市場(chǎng)準(zhǔn)入要件、公益產(chǎn)品準(zhǔn)入八個(gè)方面梳理了我國(guó)目前企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入立法,,分析其中存在的主要問(wèn)題,并探討了這些問(wèn)題產(chǎn)生的制度根源,以便在論文的核心部分對(duì)這些問(wèn)題進(jìn)行進(jìn)一步解答。 第三部分,國(guó)外企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入立法實(shí)踐及其對(duì)我國(guó)的啟示。本部分有針對(duì)性地選擇了企業(yè)基金會(huì)法律制度最為發(fā)達(dá)的美國(guó)、企業(yè)基金會(huì)法人制度最成熟的德國(guó)和與我國(guó)情況最為相似的臺(tái)灣地區(qū)的準(zhǔn)入制度進(jìn)行比較,根據(jù)第二部分的分析,從這些國(guó)家和地區(qū)的立法經(jīng)驗(yàn)中總結(jié)出對(duì)我國(guó)今后立法的啟發(fā),為提出具體的立法完善建議奠定基礎(chǔ)。 第四部分,對(duì)完善我國(guó)企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度立法的建議。該部分是本文的論述重點(diǎn),按照由“重注冊(cè)、輕監(jiān)管”向“輕注冊(cè)、重監(jiān)管”立法思路的轉(zhuǎn)變,旨在構(gòu)建以《慈善事業(yè)促進(jìn)法》為基本法,以《基金會(huì)管理?xiàng)l例》為單行法企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度法律體系。在基本法律制度方面,具體闡述了《慈善事業(yè)促進(jìn)法》立法的必要性和在企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度方面的內(nèi)容;在單行法方面,力求在《基金會(huì)管理?xiàng)l例》中構(gòu)建專門(mén)的企業(yè)基金會(huì)法律制度,并從降低財(cái)產(chǎn)要件、強(qiáng)化組織機(jī)構(gòu)要件、構(gòu)建從業(yè)人員準(zhǔn)入制度、開(kāi)放投資市場(chǎng)準(zhǔn)入和消除涉外市場(chǎng)準(zhǔn)入壁壘六個(gè)方面分析了企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入制度的具體立法設(shè)計(jì);另外,還就企業(yè)基金會(huì)市場(chǎng)準(zhǔn)入法律制度的一些相關(guān)配套措施的完善進(jìn)行了簡(jiǎn)單探討。
[Abstract]:This paper, taking the practical and legislative status of the enterprise foundation industry as the breakthrough point, discusses the market access system as the main line, and puts forward a series of concrete ideas for the construction and improvement of the market access legal system of the Chinese enterprise foundation. In the overall structure, the concept of the enterprise foundation and the basic market access system are defined. Starting with the content, this paper analyzes the current situation, deficiency and reasons of relevant legislation in China, and compares the legislation of our country with the legislation of Germany, the United States and Taiwan from the two aspects of the legislative pattern and basic content, and puts forward some suggestions for improving the current legislation of our country. Thus, the emphasis of this article is drawn and the construction of the law of promoting the charity cause is constructed. For the basic law, the legal system of the enterprise foundation with the foundation management regulations as a separate law is based on this, and the legal system of market access for enterprise foundations is perfected.
In addition to the introduction, this article is divided into four parts:
The first part is an overview of the market access system of the enterprise foundation. First, it introduces the definition of the concept of the enterprise foundation, gives the definition of the concept of the enterprise foundation, and analyzes the particularity of the enterprise foundation compared with other types of non-public fund. In two aspects, the specific contents of the market access system of the enterprise foundation are discussed, and three related admittance principles are introduced in legislation.
The second part, the legislative status and existing problems of the market access system of China's enterprise foundation, the part from the legal system, the establishment of procedures, the elements of the property, the organizational elements, the elements of the employees, the requirements of investment market access, the requirements of foreign market access, the access of public goods and the access of public goods. Admittance legislation, analysis of the main problems existing in it, and discuss the root causes of these problems, so as to further solve these problems in the core part of the paper.
The third part, the legislative practice of the market access of foreign enterprise foundation and Its Enlightenment to our country. This part has selected the most developed legal system of the enterprise foundation in the United States, the most mature German of the corporate foundation of the enterprise foundation and the Taiwan area with the most similar situation in our country, according to the second parts. From the legislative experience of these countries and regions, we can sum up the inspiration for China's future legislation and lay the foundation for specific proposals for legislative improvement.
The fourth part is the suggestion to improve the legislation of the market access system of the enterprise foundation of our country. This part is the focus of this article. In accordance with the change from "re registration, light supervision" to "light registration and heavy supervision", the aim is to construct the basic law of "charity Promotion Law" and the foundation of the foundation management Ordinance. The legal system of market access system. In the basic legal system, it expounds the necessity of the law of promotion of charity and the content of the market access system of the enterprise foundation. In the aspect of the single line law, we strive to establish a special legal system for the enterprise basic gold association in the regulation of the foundation and reduce the requirements of property. The specific legislative design of the market access system of the enterprise foundation is analyzed in six aspects: the requirements of the organizational structure, the construction of the access system of the employees, the access of the open investment market and the elimination of the barriers to entry of the foreign-related market. In addition, the improvement of some relevant supporting measures for the legal system of the market access of the enterprise foundation is briefly discussed.
