【摘要】：我國當(dāng)下乏力的制度規(guī)范及囿于傳統(tǒng)管制導(dǎo)向的學(xué)理思維,已經(jīng)難以滿足對特許經(jīng)營權(quán)利提供切實有效的保障。以保護特許經(jīng)營權(quán)利為中心,藉由生成邏輯獲知其權(quán)能性質(zhì),并以此為基點明晰其法治邊界,可為關(guān)涉主體的權(quán)利(權(quán)力)義務(wù)(責(zé)任)配置提供一個新的分析框架。據(jù)此分析框架,特許經(jīng)營權(quán)利源自于作為公共利益外化結(jié)果的特許經(jīng)營協(xié)議,但其權(quán)利空間不僅限于特許經(jīng)營協(xié)議,還包括未作明示的屬于經(jīng)營權(quán)的當(dāng)然權(quán)利。面對實踐中特許經(jīng)營所涉法律關(guān)系的尷尬境遇,國家應(yīng)當(dāng)由幕后走向前臺,發(fā)揮其應(yīng)有的調(diào)控職能,且政府介入亦有國家擔(dān)保責(zé)任和財產(chǎn)權(quán)社會義務(wù)之理論基礎(chǔ)。但是,政府介入行為除遵循已有法律規(guī)范外,應(yīng)承繼《行政許可法》相關(guān)條款的法治經(jīng)驗,并在施以行政法一般原則統(tǒng)制時,注意"不對稱管制"等特殊規(guī)則的應(yīng)用。
[Abstract]:At present, China's weak institutional norms and traditional regulatory guidance of the academic thinking, has been difficult to meet the franchise rights to provide practical and effective protection.Taking the protection of franchise rights as the center and knowing the nature of its power through generating logic, and making clear its legal boundary on this basis, it can provide a new analytical framework for the allocation of rights (powers), obligations (responsibilities) of the subjects concerned.According to the analysis framework, the franchise right originates from the franchise agreement which is the result of externalization of the public interest, but its right space is not limited to the franchise agreement, but also includes the unexpressed rights belonging to the right of operation.In the face of the awkward situation of the legal relationship involved in franchising in practice, the state should step forward from behind the scenes to play its proper regulatory function, and the government intervention also has the theoretical basis of the national guarantee responsibility and the social obligation of property rights.However, in addition to following the existing legal norms, the government intervention behavior should inherit the rule of law experience of the relevant articles of the Administrative Licensing Law, and pay attention to the application of special rules such as "asymmetric regulation" when the general principles of administrative law are applied.
