【摘要】:產(chǎn)權(quán)式商業(yè)物業(yè)起初是從外國引入我國的,它的經(jīng)營模式比較特殊,即購買商業(yè)物業(yè)的資者,在購買之后并不參與具體的運(yùn)營,而是將商業(yè)物業(yè)委托給統(tǒng)一的運(yùn)營商經(jīng)營管理,資者只需要按期獲取收益的經(jīng)營模式。 由于產(chǎn)權(quán)式商業(yè)物業(yè)起步晚,發(fā)展時(shí)間短,相關(guān)理論發(fā)展滯后,規(guī)范產(chǎn)權(quán)式商業(yè)物業(yè)投資與經(jīng)營的法律法規(guī)較匱乏,致使我國產(chǎn)權(quán)式商業(yè)物業(yè)發(fā)展中的很多問題無法通過法律手段解決,嚴(yán)重阻礙了產(chǎn)權(quán)式商業(yè)物業(yè)的投資經(jīng)營和作用的發(fā)揮。 本文析了產(chǎn)權(quán)式商業(yè)物業(yè)在產(chǎn)權(quán)登記、經(jīng)營模式及交易主體等方面的法律問題,并提出了相關(guān)的完善措施和解決對策。全文共分為五部分,內(nèi)容安排如下: 第一部分,緒論。本部分主要說明選題的原因及意義,并對文章的研究重點(diǎn)做出簡要概述。 第二部分,產(chǎn)權(quán)式商業(yè)物業(yè)概述。探討產(chǎn)權(quán)式商業(yè)物業(yè)的特征及性質(zhì):重點(diǎn)對產(chǎn)權(quán)式商業(yè)物業(yè)的經(jīng)營模式進(jìn)行分析。 第三部分,產(chǎn)權(quán)式商業(yè)物業(yè)產(chǎn)權(quán)登記的相關(guān)法律問題。介紹我國產(chǎn)權(quán)式商業(yè)物業(yè)登記的現(xiàn)狀和存在的法律問題,并進(jìn)一步提出完善建議。 第四部分,主要分析產(chǎn)權(quán)式商業(yè)物業(yè)投資與經(jīng)營中對中小投資者的保護(hù),分析其中存在的問題和投資風(fēng)險(xiǎn),并進(jìn)一步提出解決辦法。 第五部分,,產(chǎn)權(quán)式商業(yè)物業(yè)運(yùn)營模式的法律問題。重點(diǎn)分析產(chǎn)權(quán)式商業(yè)物業(yè)運(yùn)營模式中的售后包租模式,結(jié)合我國關(guān)于售后包租的現(xiàn)行法律規(guī)定對其合理性進(jìn)行分析,并進(jìn)一步提出解決措施。
[Abstract]:Property right type commercial property was introduced into our country from foreign countries at first, its management mode is quite special, that is, the investors who buy commercial property do not participate in the concrete operation after purchase, but entrust the commercial property to the unified operator management. Investors only need a business model in which profits are earned on time. Because the property right commercial property starts late, the development time is short, the related theory development lags behind, the laws and regulations regulating the property right type commercial property investment and management are relatively scarce. As a result, many problems in the development of property right commercial property can not be solved by legal means, which seriously hinders the investment management and function of property right commercial property. This paper analyzes the legal problems of property right registration, business model and transaction subject, and puts forward the relevant improvement measures and solutions. The full text is divided into five parts, the content of which is arranged as follows:. The first part, introduction. This part mainly explains the reason and significance of the topic, and makes a brief summary of the research emphasis. The second part, the summary of the property right commercial property, discusses the characteristics and nature of the property right type commercial property, and analyzes the management mode of the property right type commercial property. The third part introduces the current situation and existing legal problems of the property right registration of commercial property in China, and puts forward some suggestions for further improvement. In the 4th part, it mainly analyzes the protection of the small and medium investors in the investment and management of the property right type commercial property, analyzes the existing problems and investment risks, and puts forward further solutions. Part 5th, the legal problems of the property right commercial property operation mode, mainly analyzes the after-sale chartering mode in the property right commercial property operation mode, and analyzes its rationality in combination with the current laws and regulations on after-sale chartering in our country. Further measures are put forward.
