貨物買(mǎi)賣(mài)合同與貨物海運(yùn)合同銜接問(wèn)題研究

【摘要】:國(guó)際貨物買(mǎi)賣(mài)中,,貨物需要進(jìn)行跨越國(guó)境的運(yùn)輸,完成從賣(mài)方到買(mǎi)方的地理位置轉(zhuǎn)移。海上運(yùn)輸是最重要的運(yùn)輸方式。由于國(guó)際買(mǎi)賣(mài)合同與國(guó)際海上貨物運(yùn)輸合同分別受買(mǎi)賣(mài)法與運(yùn)輸法調(diào)整,而國(guó)際、國(guó)內(nèi)、有關(guān)買(mǎi)賣(mài)、運(yùn)輸?shù)牧⒎ú⒉煌剑瑢?dǎo)致作為前端的買(mǎi)賣(mài)合同與作為后端的運(yùn)輸合同不能有效銜接,極大阻礙了國(guó)際貨物買(mǎi)賣(mài)合同的順利履行。本文作者以國(guó)際貨物買(mǎi)賣(mài)和國(guó)際海上貨物運(yùn)輸?shù)膰?guó)際立法、國(guó)際慣例及中國(guó)法律為立足點(diǎn),比較買(mǎi)賣(mài)法與運(yùn)輸法在損害賠償范圍、買(mǎi)方提貨義務(wù)等方面規(guī)定的異同,對(duì)買(mǎi)賣(mài)合同與運(yùn)輸合同的有效銜接提出自己的觀點(diǎn)。 本文第一章對(duì)FOB、CIF買(mǎi)賣(mài)合同與運(yùn)輸合同在租船訂艙、裝卸費(fèi)率、THC支付方面的銜接問(wèn)題進(jìn)行了探討。 本文第二章通過(guò)比較買(mǎi)賣(mài)法與運(yùn)輸法在“貨物控制權(quán)”方面規(guī)定的異同,對(duì)我國(guó)《海商法》增加控制權(quán)內(nèi)容提出修改建議。對(duì)買(mǎi)賣(mài)合同與運(yùn)輸合同在控制權(quán)方面的銜接提出自己的觀點(diǎn)。 本文第三章通過(guò)比較買(mǎi)賣(mài)法與運(yùn)輸法在“貨物損害賠償范圍”方面規(guī)定的異同,對(duì)我國(guó)《海商法》中“貨物損害賠償范圍”提出修改建議。對(duì)買(mǎi)賣(mài)合同與運(yùn)輸合同在“貨物損害賠償范圍”方面銜接提出自己的觀點(diǎn)。 本文第四章通過(guò)比較買(mǎi)賣(mài)法與運(yùn)輸法在“買(mǎi)方提貨義務(wù)”方面規(guī)定的異同,對(duì)我國(guó)《海商法》中“買(mǎi)方提貨義務(wù)”的相關(guān)問(wèn)題提出修改建議。 本文第五章著重探討UNCITRAL運(yùn)輸法草案中承運(yùn)人責(zé)任期間的擴(kuò)展、無(wú)單放貨的新規(guī)定可能對(duì)買(mǎi)賣(mài)合同產(chǎn)生的影響。
[Abstract]:In the international sale and purchase of goods, the goods need to be transported across the border to complete the geographical transfer from the seller to the buyer. Maritime transport is the most important mode of transport. Because the international contract of sale and the contract of international carriage of goods by sea are respectively regulated by the law of sale and the law of carriage, the international, domestic, relevant legislation on sale and transportation is not synchronized. As a result, the front-end sale contract and the back-end transport contract can not be effectively linked, which greatly hinders the smooth performance of the international goods sale contract. Based on the international legislation, international practice and Chinese law of the international sale of goods and the international carriage of goods by sea, the author compares the similarities and differences between the law of sale and the law of carriage in the scope of damages, the obligation of the buyer to pick up goods, and so on. Put forward one's own viewpoint on the effective connection between the contract of sale and the contract of carriage. In the first chapter, the connection between FOB,CIF contract and transportation contract in chartering, loading and unloading rate and THC payment is discussed. In the second chapter, by comparing the similarities and differences between the law of sale and the law of transport in the aspect of "right of control of goods", the author puts forward some suggestions for the amendment of the content of increasing the right of control in Maritime Law of our country. To the contract of sale and purchase and the contract of carriage in the right of control to put forward their own point of view. In the third chapter, by comparing the similarities and differences in the scope of damages for goods between the law of sale and the law of carriage, the author puts forward some suggestions to amend the scope of compensation for damages of goods in Maritime Law of China. The author puts forward his own views on the connection between the contract of sale and the contract of carriage in the scope of damages for goods. In the fourth chapter, by comparing the similarities and differences between the law of sale and the law of carriage in the aspect of "buyer's obligation to pick up goods", the author puts forward some suggestions on the amendment of "buyer's obligation to pick up goods" in China's Maritime Law. The fifth chapter focuses on the extension of the carrier's liability period in the draft of UNCITRAL Transport Law, and the possible impact of the new provisions on the contract of sale and purchase.
