【摘要】：股權(quán)轉(zhuǎn)讓是商事交易中最常見的活動(dòng)之一，不僅關(guān)系著公司的穩(wěn)定經(jīng)營及有效運(yùn)轉(zhuǎn)，同時(shí)也對(duì)社會(huì)資源，特別是社會(huì)資金的配置有著重要的影響�！昂谓▌偱c何顯玲股權(quán)轉(zhuǎn)讓糾紛上訴案”是我國股權(quán)轉(zhuǎn)讓糾紛案中的典型判例，它不是一起簡單的股權(quán)轉(zhuǎn)讓糾紛案，而是涉及了瑕疵出資、股東資格認(rèn)定、股權(quán)轉(zhuǎn)讓、合同效力認(rèn)定等對(duì)公司、股東及債權(quán)人等當(dāng)事人起著至關(guān)重要作用的問題。本文以該案為基礎(chǔ)，探討了認(rèn)定瑕疵出資股權(quán)轉(zhuǎn)讓合同效力所引出的一系列問題。本文從以下四個(gè)部分進(jìn)行了論述： 第一部分，案情簡介及所引出的問題。首先我們簡約地介紹了主要案情，然后提出由案例所引出的關(guān)于瑕疵出資股權(quán)轉(zhuǎn)讓效力認(rèn)定的三個(gè)問題：瑕疵出資人的出資行為是否構(gòu)成瑕疵出資？瑕疵出資股權(quán)是否可以轉(zhuǎn)讓？瑕疵出資股權(quán)轉(zhuǎn)讓合同是否有效？ 第二部分，瑕疵出資內(nèi)涵的分析。首先，由于目前學(xué)術(shù)界對(duì)瑕疵出資的含義還沒有形成統(tǒng)一的認(rèn)識(shí)，本文闡述了對(duì)瑕疵出資的內(nèi)涵的一己之見；其次，探討了瑕疵出資的原因并列舉了瑕疵出資在實(shí)踐中的幾種表現(xiàn)；最后，結(jié)合本案，分析了第一部分提出的問題一，并對(duì)其作出了回應(yīng)。 第三部分，瑕疵出資股權(quán)的可轉(zhuǎn)讓性分析。分析瑕疵出資股權(quán)的可轉(zhuǎn)讓性的前提條件是要弄清楚瑕疵出資人是否具有股東資格，否則，一切問題都將無從談起。本文首先闡述了瑕疵出資人具有公司股東資格，享有股東權(quán)利、承擔(dān)股東義務(wù)的理論；其次，分析了瑕疵出資股權(quán)的可轉(zhuǎn)讓性；最后，結(jié)合本案，分析了第一部分提出的問題二，并肯定了瑕疵出資股權(quán)的可轉(zhuǎn)讓性。 第四部分，瑕疵出資股權(quán)轉(zhuǎn)讓合同效力的認(rèn)定。由于現(xiàn)階段學(xué)術(shù)界關(guān)于瑕疵出資股權(quán)轉(zhuǎn)讓合同的效力認(rèn)定存在不同學(xué)說，本文首先簡單地介紹了這幾種學(xué)說；其次，陳述了無效說、折中說及可撤銷說的缺陷，論證了采用有效說的理由；最后，結(jié)合本案，分析了由案例引出的問題三，，對(duì)瑕疵出資股權(quán)轉(zhuǎn)讓合同的效力認(rèn)定作出肯定回答。
[Abstract]:Equity transfer is one of the most common activities in commercial transactions, which is not only related to the stable operation and effective operation of the company, but also has an important impact on the allocation of social resources, especially social funds. He Jiangang and he Xianling's equity transfer dispute appeal case is a typical case in the case of equity transfer dispute in China. It is not a simple case of equity transfer dispute, but involves defective capital contribution, shareholder qualification determination, equity transfer. The determination of the validity of the contract plays an important role in the company, shareholders and creditors. Based on this case, this paper discusses a series of problems arising from the validity of the equity transfer contract. This article has carried on the elaboration from the following four parts: the first part, the case brief introduction and the question which elicits. First of all, we briefly introduce the main cases, and then put forward three questions about the validity of the transfer of defective capital contribution: whether the investment behavior of the defective investor constitutes the defective contribution? Is the defective contribution equity transferable? Is the transfer contract of defective capital contribution valid? The second part is the analysis of the connotation of defective investment. First of all, as the academic community has not formed a unified understanding of the meaning of defective investment, this paper expounds the connotation of the defective contribution of a view; secondly, This paper discusses the reasons of defective investment and enumerates several manifestations of defective investment in practice. Finally, combined with this case, it analyzes the first part of the question, and makes a response to it. The third part, the defect contribution equity transferability analysis. The precondition of analyzing the transferability of defective capital contribution is to find out whether the defective investor has the qualification of shareholders, otherwise, all problems will be impossible to talk about. This paper first expounds the theory that the defective investor has the qualification of shareholders, the rights of shareholders and the obligations of shareholders; secondly, analyzes the transferability of defective capital contribution; finally, combined with this case, The first part of the analysis of the second issue, and affirmed the transferability of defective equity. The fourth part, the confirmation of the validity of the equity transfer contract of defective capital contribution. Because there are different theories about the validity of the transfer contract of defective capital contribution in the academic circles at present, this paper first introduces these theories briefly; secondly, it states the defects of the invalid theory, the compromise theory and the theory of revocability. Finally, combining with the case, the author analyzes the problem three, and gives a positive answer to the validity of the transfer contract of defective capital contribution.
