海上貨物運輸合同中托運人單方變更合同權(quán)利制度研究

【摘要】: 本文從法律和實務的角度,論述了我國《合同法》生效后,對海運托運人變更運輸合同權(quán)利義務的影響,探討了托運人變更運輸合同的權(quán)利所產(chǎn)生的相關(guān)問題。在海上貨物運輸合同立法的基礎(chǔ)上,本文研究建立和完善《海商法》托運人單方面變更合同權(quán)利制度。 本文引言和第一章首先闡述了海上貨物運輸合同在合同變更理論方面的關(guān)系及其特殊性。合同作為雙方當事人合意的后果,在履行過程中難免要遇到一些在訂立合同之初所未能預料的變化。在海上貨物運輸合同中,這種變化要受到更多因素的影響,所以,有必要對其專門予以歸納和分析。 第二章將托運人單方變更合同的權(quán)利和中途停運權(quán)進行比較,將托運人對承運人的指令與提單權(quán)利進行比較分析。第三章闡述了該制度的國際立法現(xiàn)狀及我國的立法缺陷。由于我國的法律體系是以大陸法系為基礎(chǔ),而英美法系在海商法領(lǐng)域卻占據(jù)優(yōu)勢地位。本文基于這兩點考慮,在探討我國法律這方面規(guī)定的同時,對國際公約和英美法的相關(guān)規(guī)定也進行了分析,并研究了其中值得我們借鑒和學習的地方。第三節(jié)闡述了我國立法現(xiàn)狀和存在的法律缺陷,從適應國際國內(nèi)法律環(huán)境要求角度,探討《海商法》實施以來,因托運人單方面變更合同權(quán)利制度的空白而暴露出來的缺陷和導致的法律沖突。 第四章具體分析了托運人單方變更合同權(quán)利制度的內(nèi)容,第五章分析完善《海商法》中托運人單方變更合同權(quán)利制度的必要性,并結(jié)合我國航運大國的實際,借鑒國際先進立法成果,提出建立和完善托運人單方面變更合同權(quán)利制度具體建議,以期對《海商法》的修改起到有益的促進作用。
[Abstract]:From the point of view of law and practice, this paper discusses the influence on the rights and obligations of maritime shippers to change the contract of carriage after the entry into force of the contract Law of our country, and probes into the related problems arising from the right of the shippers to change the contract of carriage. On the basis of the legislation of contract of carriage of goods by sea, this paper studies the establishment and perfection of the system of unilateral alteration of contractual rights of shippers in Maritime Law. In the first chapter, the relation and particularity of the contract modification theory of the contract of carriage of goods by sea are discussed. As a result of the parties' agreement, the contract will inevitably encounter some unexpected changes in the process of performance at the beginning of the conclusion of the contract. In the contract of carriage of goods by sea, this change is affected by more factors, so it is necessary to summarize and analyze it. The second chapter compares the shipper's right of unilateral variation of contract with the right of stoppage, and makes a comparative analysis of the shipper's order to the carrier and the right of bill of lading. The third chapter describes the international legislation of the system and the defects of our legislation. Because the legal system of our country is based on the civil law system, the Anglo-American legal system occupies the dominant position in the field of maritime law. Based on these two considerations, this paper analyzes the international conventions and the relevant provisions of Anglo-American law while discussing the provisions of our country's laws, and studies the places that we can learn from them. The third section expounds the current situation of our country's legislation and the existing legal defects, from the point of view of adapting to the requirements of the international and domestic legal environment, discusses the implementation of the Maritime Law since its implementation. The defects and conflicts of laws caused by the blank of the shipper's unilateral alteration of the contract right system. The fourth chapter analyzes the content of shipper's unilateral contract right system, the fifth chapter analyzes the necessity of perfecting shipper's unilateral contract right system in Maritime Law, and combines the reality of our country's big shipping country. Referring to the international advanced legislative achievements, this paper puts forward some concrete suggestions to establish and perfect the system of unilateral alteration of contract rights of shippers, in order to promote the revision of Maritime Law.
