【摘要】：商業(yè)秘密的民法保護(hù)對維護(hù)正常的市場競爭秩序、鼓勵(lì)科技創(chuàng)新以及保護(hù)商業(yè)秘密持有人的權(quán)益意義重大。而目前我國對商業(yè)秘密的民法保護(hù)存在著種種不足,已經(jīng)極大地落后于當(dāng)今世界先進(jìn)國家的水平,并且不能適應(yīng)信息時(shí)代的迫切要求,這一現(xiàn)狀急切地需要得到改善。在本文中,筆者首先在分析商業(yè)秘密的構(gòu)成要件基礎(chǔ)上對其重新進(jìn)行了定義,并得出它應(yīng)當(dāng)屬于知識(shí)產(chǎn)權(quán)客體的結(jié)論。同時(shí)認(rèn)為,對商業(yè)秘密進(jìn)行民法保護(hù)具有充分的現(xiàn)實(shí)與法理依據(jù)。而對比當(dāng)今世界一些先進(jìn)國家與地區(qū),由于經(jīng)濟(jì)基礎(chǔ)、法制建設(shè)、立法技術(shù)與理論研究等方面的原因,我國的商業(yè)秘密民法保護(hù)存在著種種不足。要對其改進(jìn),現(xiàn)今應(yīng)當(dāng)著重深化理論研究與提高立法技術(shù)。最后對如何完善我國商業(yè)秘密民法保護(hù)的問題進(jìn)行了構(gòu)想:第一,我國的商業(yè)秘密民法保護(hù)應(yīng)當(dāng)以維護(hù)社會(huì)主義市場競爭秩序、促進(jìn)科學(xué)技術(shù)的進(jìn)步與保護(hù)商業(yè)秘密持有人的權(quán)益為立法宗旨;第二,商業(yè)秘密民法保護(hù)應(yīng)當(dāng)以統(tǒng)一的商業(yè)秘密保護(hù)法為表現(xiàn)形式;第三,我國應(yīng)當(dāng)確立商業(yè)秘密權(quán),對侵權(quán)行為的認(rèn)定應(yīng)當(dāng)采用過錯(cuò)推定的方法,同時(shí)以行為保全與損害賠償?shù)确绞絹肀Ｗo(hù)這一權(quán)利;第四,對商業(yè)秘密保護(hù)法與我國現(xiàn)有其他涉及到商業(yè)秘密民法保護(hù)的法律規(guī)范之間可能出現(xiàn)的沖突應(yīng)當(dāng)怎樣協(xié)調(diào)的問題作了設(shè)想。
[Abstract]:The civil law protection of trade secrets is of great significance to the maintenance of normal market competition order, the encouragement of scientific and technological innovation and the protection of the rights and interests of trade secret holders. However, at present, the civil law protection of trade secrets in our country has various shortcomings, which has lagged behind the level of the advanced countries in the world, and can not meet the urgent requirements of the information age. This situation urgently needs to be improved. In this paper, the author firstly redefines trade secret on the basis of analyzing its constituent elements, and draws the conclusion that it should belong to the object of intellectual property. At the same time, it is believed that the civil law protection of trade secrets has sufficient realistic and legal basis. Compared with some advanced countries and regions in the world, because of the economic foundation, the legal system construction, the legislation technology and the theory research and so on, our country's trade secret civil law protection has various shortcomings. In order to improve it, we should deepen the theoretical research and improve the legislative technology. In the end, the author conceives how to perfect the civil law protection of the trade secret in our country. First, the civil law protection of the trade secret in our country should maintain the competitive order of the socialist market. The purpose of legislation is to promote the progress of science and technology and to protect the rights and interests of trade secret holders; second, the civil law protection of trade secrets should be expressed in the form of uniform trade secret protection law; third, China should establish the right to trade secrets. The method of presumption of fault should be adopted in the determination of tort, and the right should be protected by means of act preservation and compensation for damages. The possible conflicts between the law on trade secret protection and other legal norms concerning the protection of trade secrets under civil law in China are envisaged.
