【摘要】:伴隨著競(jìng)爭(zhēng)機(jī)制的不斷引入,中國(guó)保險(xiǎn)市場(chǎng)正經(jīng)歷高速發(fā)展的時(shí)期。但相對(duì)于西方發(fā)達(dá)國(guó)家而言,中國(guó)的保險(xiǎn)市場(chǎng)結(jié)構(gòu)仍處于難辨方向的摸索階段。建立競(jìng)爭(zhēng)性的保險(xiǎn)市場(chǎng)體系,將繼續(xù)是中國(guó)保險(xiǎn)市場(chǎng)逐步走向成熟的關(guān)鍵。尤其是中國(guó)即將加入WTO和保險(xiǎn)市場(chǎng)的進(jìn)一步擴(kuò)大開(kāi)放,建立競(jìng)爭(zhēng)性的保險(xiǎn)市場(chǎng)體系將有利于提高保險(xiǎn)市場(chǎng)的運(yùn)作效率,優(yōu)化保險(xiǎn)市場(chǎng)的市場(chǎng)結(jié)構(gòu),促進(jìn)保險(xiǎn)市場(chǎng)的良性發(fā)展。而要實(shí)現(xiàn)這一目標(biāo),必須有良好且有效的法律環(huán)境作保障。作為社會(huì)主義法治經(jīng)濟(jì)的一部分,保險(xiǎn)市場(chǎng)的成長(zhǎng)狀況關(guān)系著社會(huì)生活的方方面面,因?yàn),保險(xiǎn)的本質(zhì)就是由社會(huì)來(lái)分擔(dān)個(gè)別人或個(gè)別群體的損失,來(lái)減小各種災(zāi)禍給個(gè)人帶來(lái)的不利影響?梢哉f(shuō),保險(xiǎn)的各方主體雖然是特定的人或群體,但其影響卻波及整個(gè)社會(huì)。對(duì)于這樣一個(gè)社會(huì)影響極其廣泛的行業(yè),其行為活動(dòng)必然要受到法律的約束,因?yàn)橹挥蟹刹拍軓母旧吓懦酥,排除少?shù)人的恣意妄為,從而保證社會(huì)利益在最大程度上得以實(shí)現(xiàn)。 全文共分為三個(gè)部分: 第一部分——我國(guó)保險(xiǎn)市場(chǎng)上的不正當(dāng)競(jìng)爭(zhēng)行為 首先,針對(duì)目前理論界和實(shí)踐界對(duì)保險(xiǎn)競(jìng)爭(zhēng)行為性質(zhì)的誤解,筆者著意辨析了壟斷與不正當(dāng)競(jìng)爭(zhēng)的區(qū)別,并明確保險(xiǎn)市場(chǎng)上的不規(guī)范競(jìng)爭(zhēng)行為屬于不正當(dāng)競(jìng)爭(zhēng),而非壟斷行為。其次,列舉了我國(guó)保險(xiǎn)市場(chǎng)上不正當(dāng)競(jìng)爭(zhēng)行為的表現(xiàn)與危害。其表現(xiàn)主要有:強(qiáng)制保險(xiǎn)行為、違規(guī)經(jīng)營(yíng)行為、限制競(jìng)爭(zhēng)行為、人才爭(zhēng)搶行為等;其危害主要有:擾亂市場(chǎng)的秩序,給保險(xiǎn)行業(yè)帶來(lái)混亂,以及引起業(yè)務(wù)質(zhì)量下降,使保險(xiǎn)公司形成巨額賠付壓力而無(wú)可靠的賠付能力等。再次,分析了我國(guó)保險(xiǎn)市場(chǎng)上不正當(dāng)競(jìng)爭(zhēng)行為的成因,如保險(xiǎn)市場(chǎng)培育不充分,導(dǎo)致經(jīng)營(yíng)方式粗放;外部競(jìng)爭(zhēng)條件不平等,誘使競(jìng)爭(zhēng)行為不正當(dāng);不正當(dāng)競(jìng)爭(zhēng)行為的違法成本偏低, WP=50 守法成本偏高;保險(xiǎn)行業(yè)從業(yè)人員素質(zhì)偏低;保險(xiǎn)業(yè)競(jìng)爭(zhēng)立法相對(duì)滯后;執(zhí)法不公等。 最后,基于以上論述,得出以法規(guī)制我國(guó)保險(xiǎn)市場(chǎng)上不正當(dāng)競(jìng)爭(zhēng)行為的必要性,即它是保險(xiǎn)市場(chǎng)自身發(fā)展的客觀需要,是中國(guó)保險(xiǎn)市場(chǎng)向國(guó)際化趨勢(shì)發(fā)展的有力保障。 第二部分——我國(guó)保險(xiǎn)競(jìng)爭(zhēng)法律體系的理論基礎(chǔ) 保險(xiǎn)競(jìng)爭(zhēng)是競(jìng)爭(zhēng)的一種,因此,要想正確地理解保險(xiǎn)競(jìng)爭(zhēng),我們就有必要從基礎(chǔ)的競(jìng)爭(zhēng)理論著手,逐漸推演開(kāi)來(lái),從競(jìng)爭(zhēng)的共性中尋找出保險(xiǎn)競(jìng)爭(zhēng)的特性。同時(shí),我們還要以競(jìng)爭(zhēng)法制度為基礎(chǔ),尋找保險(xiǎn)競(jìng)爭(zhēng)法的基本立足點(diǎn)。 對(duì)于競(jìng)爭(zhēng)的含義,筆者從經(jīng)濟(jì)學(xué)上的競(jìng)爭(zhēng)入手,引導(dǎo)出法學(xué)意義上的競(jìng)爭(zhēng),即市場(chǎng)經(jīng)濟(jì)主體在生產(chǎn)經(jīng)營(yíng)活動(dòng)中,以追求最大經(jīng)濟(jì)效益為目的,通過(guò)合法手段所進(jìn)行的有關(guān)市場(chǎng)條件、市場(chǎng)資源、市場(chǎng)份額和市場(chǎng)活動(dòng)結(jié)果的有序爭(zhēng)奪。對(duì)于競(jìng)爭(zhēng)的功能,可從積極與消極兩方面分析,其積極的功能主要有:可以促進(jìn)社會(huì)生產(chǎn)力的合理流動(dòng),實(shí)現(xiàn)資源的優(yōu)化配置;可以調(diào)節(jié)國(guó)民收入的分配和再分配,有利于合理的市場(chǎng)價(jià)格的確定和均衡利潤(rùn)的形成;可以作為經(jīng)濟(jì)發(fā)展的動(dòng)力和壓力,優(yōu)勝劣汰,促進(jìn)社會(huì)經(jīng)濟(jì)的繁榮與進(jìn)步;可以最大限度的實(shí)現(xiàn)對(duì)消費(fèi)者合法權(quán)益的保護(hù)等。其消極功能主要有:競(jìng)爭(zhēng)的充分開(kāi)展通常要付出一定的社會(huì)成本;會(huì)破壞既存的社會(huì)經(jīng)濟(jì)秩序;對(duì)社會(huì)精神文明建設(shè)有一定負(fù)面影響;不可避免的會(huì)導(dǎo)致各種形式的壟斷的出現(xiàn)等。 所謂競(jìng)爭(zhēng)法,是調(diào)整市場(chǎng)公平競(jìng)爭(zhēng)關(guān)系和市場(chǎng)競(jìng)爭(zhēng)管理關(guān)系的法律規(guī)范的總和。競(jìng)爭(zhēng)法的調(diào)整對(duì)象有反不正當(dāng)競(jìng)爭(zhēng)關(guān)系、公平競(jìng)爭(zhēng)關(guān)系和國(guó)家對(duì)市場(chǎng)競(jìng)爭(zhēng)的管理關(guān)系。競(jìng)爭(zhēng)法的法律體系是指競(jìng)爭(zhēng)法所應(yīng)當(dāng)涵蓋的子法規(guī)群,即確認(rèn)、創(chuàng)設(shè)競(jìng)爭(zhēng)條件和競(jìng)爭(zhēng)環(huán)境的法律規(guī)范、調(diào)整市場(chǎng)競(jìng)爭(zhēng)關(guān)系的實(shí)體性法律規(guī)范、調(diào)整競(jìng)爭(zhēng)管理關(guān)系的實(shí)體法規(guī)范,以及處理競(jìng)爭(zhēng)關(guān)系的程序法規(guī)范。競(jìng)爭(zhēng)法的性質(zhì)也具有復(fù)合性,是兼具有私法 WP=51 (商法)和公法或社會(huì)法(經(jīng)濟(jì)法)雙重屬性的混合法律制度。同時(shí),競(jìng)爭(zhēng)法對(duì)社會(huì)經(jīng)濟(jì)發(fā)展具有多方面的積極作用。 第三部分——建立我國(guó)保險(xiǎn)競(jìng)爭(zhēng)法律體系的制度設(shè)想 首先,建立我國(guó)保險(xiǎn)競(jìng)爭(zhēng)法律體系具有重要意義,,它有利于保證保險(xiǎn)人具有足夠的償付能力,維護(hù)被保險(xiǎn)人的合法權(quán)益;有利于維護(hù)保險(xiǎn)業(yè)的公平競(jìng)爭(zhēng);有利于防止保險(xiǎn)欺詐的發(fā)生;有利于保險(xiǎn)業(yè)經(jīng)營(yíng)的合理化和科學(xué)化;并有利于提高保險(xiǎn)業(yè)的社會(huì)效益。 其次,保險(xiǎn)競(jìng)爭(zhēng)立法的主要目的是促進(jìn)和保護(hù)公平有序的保險(xiǎn)競(jìng)爭(zhēng)活動(dòng)。在我國(guó)的保險(xiǎn)行業(yè),公平競(jìng)爭(zhēng)仍應(yīng)具有這樣一種涵義:它不強(qiáng)調(diào)結(jié)果相等,而重視起點(diǎn),重視程序,強(qiáng)調(diào)每個(gè)“人”(個(gè)人和企業(yè))都有參與競(jìng)爭(zhēng)的機(jī)會(huì),要求競(jìng)爭(zhēng)各方面臨同樣的選擇機(jī)會(huì),即機(jī)會(huì)均等的公平。 最后,筆者以為,對(duì)我國(guó)保險(xiǎn)競(jìng)爭(zhēng)立法可以提出以下幾點(diǎn)建議:1、進(jìn)行稅制改革,確保不同主體的平等競(jìng)爭(zhēng)地位;2、拓寬保險(xiǎn)資金運(yùn)用途徑,加速保險(xiǎn)基金積累,提高保險(xiǎn)償付能力;3、嚴(yán)格區(qū)分政策性保險(xiǎn)與商業(yè)性保險(xiǎn),使商業(yè)保險(xiǎn)更貼近市場(chǎng);4、規(guī)范保險(xiǎn)條款,使之更趨嚴(yán)謹(jǐn)科學(xué);5、嚴(yán)格資格管理,提高保險(xiǎn)從業(yè)人員素質(zhì);6、建立保險(xiǎn)監(jiān)管機(jī)制,強(qiáng)化保險(xiǎn)監(jiān)管;7、切實(shí)落實(shí)法律規(guī)定,加大對(duì)嚴(yán)重違法違規(guī)行為的懲罰力度;8、加大對(duì)保險(xiǎn)及保險(xiǎn)法規(guī)的宣傳力度,提高國(guó)民的保險(xiǎn)意識(shí)。 綜上,通過(guò)對(duì)我國(guó)保險(xiǎn)市場(chǎng)上競(jìng)爭(zhēng)行為的分析,筆者試圖闡明我國(guó)保險(xiǎn)市場(chǎng)
[Abstract]:With the continuous introduction of competition mechanism, China's insurance market is experiencing a period of rapid development. However, relative to western developed countries, China's insurance market structure is still in the difficult stage of exploration. The further expansion of the WTO and the insurance market and the establishment of a competitive insurance market system will help to improve the efficiency of the insurance market, optimize the market structure of the insurance market and promote the healthy development of the insurance market. To achieve this goal, a good and effective legal environment must be guaranteed. As part of the rule of law economy, the growth of the insurance market is related to all aspects of social life, because the essence of the insurance is to share the loss of other people or individual groups by the society to reduce the adverse effects of various calamities on individuals. First, in view of the misunderstanding of the nature of insurance competition in the theoretical and practical circles, the author distinguishes the difference between monopoly and unfair competition, and makes clear that the unfair competition behavior in the insurance market belongs to unfair competition, not monopoly. The main manifestations are: compulsory insurance, illegal operation, restriction of competitive behavior, and talent competition. The main hazards are: disrupting the order of the market, bringing chaos to the insurance industry, causing the decline of the business quality, causing the insurance companies to form a huge compensation pressure and no reliable compensation ability. The causes of unfair competition in the risk market, such as inadequate cultivation of the insurance market, lead to extensive operation, unequal external competition conditions, unjustifiable competition behavior, low cost of illegal competition, and low cost of illegal competition.

The second part -- the theoretical foundation of China's insurance competition legal system
Insurance competition is a kind of competition. Therefore, if we want to understand the insurance competition correctly, it is necessary for us to start from the basic competition theory and gradually deduce the characteristics of the insurance competition from the commonality of the competition. At the same time, we should look for the basic foothold of the insurance competition law on the basis of the competition law system.
For the meaning of competition, the author, starting with the competition in economics, guides the competition in the sense of law, that is, the orderly contention of market conditions, market resources, market share and the result of market activities through legal means in the pursuit of the maximum economic benefit in the production and operation of the market economy. The function can be analyzed from two aspects of positive and negative aspects.
