國際船舶建造合同中建造方的救濟(jì)研究

【摘要】: 如今,船舶工業(yè)已經(jīng)成為我國的重要的產(chǎn)業(yè),它對(duì)于促進(jìn)勞動(dòng)就業(yè),發(fā)展出口貿(mào)易和保障海防安全意義重大。根據(jù)國防科工委制定的《船舶工業(yè)中長期發(fā)展規(guī)劃》,要力爭(zhēng)使我國到2015年使我國成為世界上最主要的造船大國和強(qiáng)國。根據(jù)國防科工委的統(tǒng)計(jì),2007年我國新承接的船舶訂單量已經(jīng)超過7000萬載重噸,超過韓國成為世界第一。然而,我國海商法理論界中對(duì)船舶建造的研究相對(duì)比較薄弱,在此背景下,筆者對(duì)船舶建造合同中船廠的救濟(jì)問題進(jìn)行研究。這也是筆者選題的主要原因和動(dòng)力。 在國際造船業(yè)中,應(yīng)用最廣泛的格式文本是由日本造船協(xié)會(huì)(The Shipbuilders'Association Of Japan)于1974年推出的標(biāo)準(zhǔn)格式,簡(jiǎn)稱SAJ form。并且同海商法的其他領(lǐng)域一樣,英國法在國際船舶建造合同的適用中占有主導(dǎo)地位?紤]到以上兩點(diǎn),筆者在本文的寫作中,以SAJ格式為藍(lán)本,結(jié)合國際造船業(yè)的實(shí)踐,分析了英國法下船舶建造合同中船廠的法律地位和救濟(jì),并且對(duì)中國法下的船廠的法律地位和救濟(jì)作了有益的探討。 在第一章,作者圍繞船舶建造合同的法律性質(zhì)展開,先介紹了英國法下船舶建造合同的性質(zhì),然后結(jié)合SAJ格式和造船實(shí)踐,引用了大量的法學(xué)理論說明在中國法中,船舶建造合同應(yīng)定性為買賣合同。第二章,筆者圍繞國際船舶建造合同中的違約和救濟(jì)展開論述,作者先介紹了英國法下,買賣合同中賣方的救濟(jì)方式,明確在無明確約定的情況下賣方所享有的權(quán)和在國際造船合同中船廠所享有的救濟(jì)。然后,重點(diǎn)論述了SAJ格式中船廠所享有的合同約定的救濟(jì)方式。第三章,著重探討了國際船舶建造合同中的風(fēng)險(xiǎn)負(fù)擔(dān)和船廠的救濟(jì),首先明確了合同中風(fēng)險(xiǎn)負(fù)擔(dān)的含義,然后結(jié)合造船實(shí)踐,介紹了在船舶建造合同中風(fēng)險(xiǎn)的負(fù)擔(dān)和船廠在風(fēng)險(xiǎn)負(fù)擔(dān)下的救濟(jì)。第四章,筆者探討了SAJ格式中一個(gè)保護(hù)船廠利益的重要的條款——不可抗力條款,介紹了這個(gè)條款在英國法和中國法下的不同地位。
[Abstract]:Now, the shipbuilding industry has become China's important industry to promote employment, the development of export trade and the protection of coastal security is of great significance. According to the national science and Technology Committee to develop "ship industry long-term development plan", to strive to make our 2015 to make our country become the world's leading shipbuilding nation and power according to the statistics of COSTIND, ship orders in China in 2007 the new undertaking has more than 70 million deadweight tons, more than South Korea to become the first in the world. However, China's maritime law theory in the study of ship construction is relatively weak, in this context, the author makes a research on the relief of the shipbuilding contract in shipyard. This is the main reason of the author and the power.
In the international shipbuilding industry, the text format is the most widely used by the Japanese shipbuilding Association (The Shipbuilders'Association Of Japan) standard format launched in 1974, as well as other areas referred to as SAJ form. and with the maritime law, British law in international shipbuilding contracts applicable in a dominant position. Considering the above two points, the author in the the writing of this article, in the form of SAJ is modeled, combined with the practice of the international shipbuilding industry, analyzes the legal status of shipyard construction contract under English law and relief, and the Chinese law under the legal status of shipyard and beneficial relief work.
In the first chapter, the author carried out around the legal nature of shipbuilding contract, the first contract ship under English law construction is introduced, and then combined with the SAJ format and shipbuilding practice, citing a description of the legal theory in Chinese law, shipbuilding contract should be in the nature of contract. In the second chapter, I focus on the international shipbuilding breach of contract in the relief and discussion, the author first introduces the English law, the contract of sale the seller's Remedies, no clear agreement clearly in case the seller enjoys rights and in the international shipbuilding contract relief shipyard have. Then, discusses the shipyard in SAJ format as stipulated in the contract the way of relief. The third chapter focuses on the relief of risk burden in international shipbuilding contract and shipyard, first clear the burden of risk in the contract meaning, and then combined with the shipbuilding practice, introduction The burden of risk in shipbuilding contract and the relief of shipyard under the risk burden are discussed. In the fourth chapter, the author discusses an important clause in the SAJ format -- the force majeure clause, which introduces the clause's different status under the English law and the Chinese law.
