【摘要】： 本文擬以營業(yè)轉(zhuǎn)讓的特殊性作為切入點,深入闡釋和論證營業(yè)轉(zhuǎn)讓中的三項必備基本規(guī)則——事實關(guān)系移轉(zhuǎn)規(guī)則、轉(zhuǎn)讓方競業(yè)禁止規(guī)則和債權(quán)人保護規(guī)則——的法理基礎(chǔ)和必要性。 全文包括導(dǎo)言、正文、結(jié)語三部分,正文部分由四章組成。 第一章介紹了營業(yè)轉(zhuǎn)讓的一般理論問題,并以此為基礎(chǔ)引出了營業(yè)轉(zhuǎn)讓規(guī)則框架的基本構(gòu)成。本章從商法上“營業(yè)”概念的含義和構(gòu)成出發(fā),指出了營業(yè)轉(zhuǎn)讓的概念、營業(yè)轉(zhuǎn)讓與一般財產(chǎn)轉(zhuǎn)讓的區(qū)別——合同標的物的不同以及合同本旨的不同,論述了營業(yè)轉(zhuǎn)讓獨特的經(jīng)濟功能和法理基礎(chǔ);基于營業(yè)轉(zhuǎn)讓的合同性質(zhì),闡述了本文作者對于營業(yè)轉(zhuǎn)讓規(guī)則框架構(gòu)建的初步意見;并提出在此框架中由營業(yè)轉(zhuǎn)讓本質(zhì)屬性所必然引出的三項基本規(guī)則——事實關(guān)系移轉(zhuǎn)規(guī)則、轉(zhuǎn)讓方競業(yè)禁止規(guī)則和債權(quán)人保護規(guī)則。 第二章論證了事實關(guān)系移轉(zhuǎn)規(guī)則是營業(yè)轉(zhuǎn)讓必備的基本規(guī)則之一。本章開篇擷取國外立法中事實關(guān)系移轉(zhuǎn)規(guī)則的立法例以展現(xiàn)此規(guī)則的概貌;之后先分析了“事實關(guān)系”的內(nèi)容、法律性質(zhì)和特征,同時考察經(jīng)濟學(xué)、會計學(xué)和法學(xué)視野中的“商譽”概念,從而推導(dǎo)出“營業(yè)轉(zhuǎn)讓中的事實關(guān)系是商譽的載體”這一結(jié)論;進而闡述了事實關(guān)系移轉(zhuǎn)規(guī)則的實質(zhì)是商譽載體的交付義務(wù);最后,本章通過闡述商譽載體交付義務(wù)是營業(yè)轉(zhuǎn)讓合同主給付義務(wù),從而論證事實關(guān)系移轉(zhuǎn)規(guī)則是營業(yè)轉(zhuǎn)讓必備的基本規(guī)則之一。 第三章論證了轉(zhuǎn)讓方競業(yè)禁止規(guī)則是營業(yè)轉(zhuǎn)讓必備的基本規(guī)則之一。本章先分析了受讓方進行營業(yè)轉(zhuǎn)讓交易的目的以及轉(zhuǎn)讓方在營業(yè)轉(zhuǎn)讓交易履行完畢后所處的相對優(yōu)勢競爭地位,從而引出競業(yè)禁止規(guī)則的立法緣由:受讓方利益保護和交易雙方利益平衡;之后本章擷取國外立法例,全面考察了競業(yè)禁止規(guī)則的主要內(nèi)容、表現(xiàn)形式和法理基礎(chǔ);最后,通過闡述競業(yè)禁止規(guī)則的屬性、競業(yè)禁止義務(wù)在營業(yè)轉(zhuǎn)讓合同中的地位——后合同義務(wù),以及競業(yè)禁止規(guī)則的功能,從而論證了轉(zhuǎn)讓方競業(yè)禁止規(guī)則也是營業(yè)轉(zhuǎn)讓必備的基本規(guī)則之一。 第四章論證了債權(quán)人保護規(guī)則是營業(yè)轉(zhuǎn)讓必備的基本規(guī)則之一。本章首先從“債務(wù)”在“營業(yè)”中的地位的角度論證了營業(yè)轉(zhuǎn)讓中債權(quán)人保護規(guī)則的必要性:債務(wù)是否為營業(yè)的構(gòu)成要素存在兩種立法例,但不論營業(yè)是否包含債務(wù),僅以傳統(tǒng)民法所提供的規(guī)則,營業(yè)轉(zhuǎn)讓必定會對轉(zhuǎn)讓前營業(yè)上的債權(quán)人的債權(quán)產(chǎn)生不利影響,商法必須對債權(quán)人利益做出特別規(guī)則安排;之后,本章又從“事實關(guān)系”在“營業(yè)”中的地位的角度論證了營業(yè)轉(zhuǎn)讓中債權(quán)人保護規(guī)則的必要性:營業(yè)轉(zhuǎn)讓必然包含以事實關(guān)系為載體的商譽的轉(zhuǎn)讓,營業(yè)轉(zhuǎn)讓的本旨決定了不能因商譽轉(zhuǎn)讓而導(dǎo)致商譽減損,商譽維持內(nèi)生地要求保護市場信賴、保護交易安全。營業(yè)轉(zhuǎn)讓應(yīng)適用商事外觀主義以保護債權(quán)人。
[Abstract]:This article takes the particularity of business transfer as the breakthrough point, and thoroughly explains and proves the three basic rules of business transfer -- the rule of fact transfer, the transferee's prohibition rule and the creditor's protection rule.
The full text includes the introduction, the text, the conclusion of the three parts, the body part consists of four chapters.
The first chapter introduces the general theory of the business transfer, and on the basis of the basic rules of composition leads to the transfer of business framework. This chapter from the commercial "business concept and constitution of, pointed out the concept of business transfer, the subject matter of the contract between business transfer and the transfer of general property of the main different and different contract, discusses the unique business transfer of the economic function and the legal basis; the nature of the contract based on the transfer of business, expounds the author for the preliminary views to construct the rules of business transfer framework; and brings forward the frame by the nature of the business transfer will lead to the three basic rules: factual relation rules of transferring, transfer the party prohibition rules and creditor protection rules.
The second chapter discusses the transfer rules of fact relationship is one of the basic rules of business transfer. This chapter begins with the overview of the necessary legislation to capture the relationship between fact in foreign legislation, transfer rules in order to show this rule; after the first analysis of the "facts", the legal nature and characteristics, and the effects of economics, accounting and law in the field of the concept of "goodwill", which is derived from the "transfer of business in the fact that the relationship is a conclusion that the carrier of goodwill"; and expounds the essence of the fact relation rule is the carrier of goodwill transfer delivery obligations; finally, this chapter expounds the goodwill carrier obligation of delivery business transfer contract is the main payment obligation, so as to demonstrate the transfer rules in relation is one of the basic rules of business transfer necessary.
The third chapter discusses the transferor prohibition rules is one of the basic rules of business transfer necessary. This chapter first analyzes the transferee trading business transfer to the transferor in the transaction and transfer of business to office after the relative competitive position, which leads to the legislation of the rule of reason: the prohibition of protecting the interests of the transferee and the transaction the balance of interests of both sides; then this chapter takes the foreign legislation, a comprehensive study of the main content of prohibition rules, forms and legal basis; finally, through the property described prohibition rules, prohibition obligations in the status of business transfer contract in the post contract obligations, and prohibition rules, which proves that the transfer of the party is one of the basic rules of prohibition rules of business transfer necessary.
The fourth chapter discusses the creditor protection rules is one of the basic rules of business transfer necessary. This chapter from the "debt" in the "business" in the position demonstrates the necessity of creditor protection rules in business transfer: there are two kinds of legislation whether the debt for the constituent elements of business, but no matter whether to include business debt. Only in the traditional civil law provided by the rules, the business transfer will have an adverse impact on the creditors in the business before the transfer of creditor's rights, the commercial interests of the creditors must make special rules; after this chapter from the "truth" in the "business" in the position angle proves the necessity of the creditor protection rules of business transfer: transfer of business must contain transfer in fact relationship as the carrier of goodwill, business transfer for the purpose of a decision not to transfer to goodwill goodwill impairment, taking Ewell To protect the market trust and protect the safety of the transaction. Business transfer should be applied to protect the creditor.
