海上貨物運輸合同中若干法律問題的研討

【摘要】: 本論文主要討論在海上貨物運輸合同中的一些問題。這些問題包括不同價格條件下,買賣雙方有關運輸?shù)牧x務;貨物交付與提單;貨物所有權(quán)轉(zhuǎn)移對貨物留置權(quán)的影響,買賣雙方的訴權(quán)等等。本論文分為四章。 第一章買賣合同條款中關于運輸?shù)膯栴}。在該章中,首先說明了國際貨物買賣合同中FOB條款下涉及的裝船費用和CIF條款下的卸船費用,問題的說明主要為接下來論述運輸合同與買賣合同中有關問題的銜接作鋪墊。本章的第三部分闡述了買賣合同對托運人的認定的影響,,托運人的認定是一個重要而困難的問題,法律規(guī)定的不足與缺陷給實踐帶來麻煩和爭議,問題的解決需要《海商法》的修訂。 第二章貨物交付與提單問題。提單在貨物的交付過程中扮演著十分重要的角色。提單的正常流轉(zhuǎn)影響著運輸合同和買賣合同的合理及時履行。但實踐中存在的無單放貨、預借倒簽提單等問題影響提單功能的正常發(fā)揮,原因很多,法律規(guī)定不完善是一個方面。本章主要對提單與貨物緊密聯(lián)系的幾個問題進行探討,提出一些個人的解決思路,僅供參考。 第三章貨物所有權(quán)轉(zhuǎn)移對貨物留置權(quán)的影響。在運輸合同的履行過程中,留置權(quán)是承運人在運輸合同下享有的重要權(quán)利。本章分為留置權(quán)對留置物所有人的影響、行使留置權(quán)應具備的條件、留置權(quán)的法律效力、留置權(quán)如何行使、留置權(quán)的消滅等幾個方面來闡述。 第四章買賣合同和運輸合同當事人的訴權(quán)。延遲交貨和貨物滅失損壞是運輸合同和買賣合同各方容易產(chǎn)生爭議的問題。貨物滅失損壞、延遲交付的產(chǎn)生原因很多,承運人對貨物的滅失損壞及延遲交付所造成的損失是否應承擔責任,本章對這些問題作了一定的闡述和分析。
[Abstract]:This paper mainly discusses some problems in the contract of carriage of goods by sea. These problems include the obligations of the seller and buyer in relation to the carriage of goods under different price conditions, the delivery of goods and bills of lading, the influence of the transfer of ownership of goods on the lien of goods. This paper is divided into four chapters. In this chapter, the shipping costs under the FOB clause and the unloading charges under the CIF clause in the international contract for the sale of goods are described. The explanation of the problem mainly paves the way for the discussion of the connection between the contract of carriage and the related issues in the contract of sale and purchase. The third part of this chapter expounds the influence of the contract of sale on the identification of the shipper, and the identification of the shipper is an important and difficult issue. The deficiency and defect of the law bring trouble and dispute to practice. The solution of the problem needs the revision of Maritime Code. The second chapter is about delivery of goods and bill of lading. Bill of lading plays a very important role in the delivery of goods. The normal circulation of bill of lading affects the reasonable and timely performance of the contract of carriage and the contract of sale. There are many reasons why the function of bill of lading is affected by some problems such as pre-signed bill of lading and so on. The imperfect legal provisions are one aspect. This chapter mainly discusses several problems which are closely related to bill of lading and goods, and puts forward some personal solutions. For reference only. Chapter III the influence of the transfer of title to goods on the lien of goods. During the performance of the contract of carriage, the lien is an important right enjoyed by the carrier under the contract of carriage. This chapter is divided into the influence of the lien on the owner of the lien. This paper expounds the conditions of lien, the legal effect of lien, how to exercise lien, the elimination of lien and so on. Chapter 4th the parties to the contract of sale and sale and the right of action of the parties to the contract of carriage. Delay in delivery and loss of damage to the goods is a contentious issue between the parties to the contract of carriage and the contract of sale and purchase. There are many reasons for the loss and damage of the goods and the delay in delivery. Whether the carrier should be responsible for the loss or damage of the goods and the loss caused by the delay in delivery is discussed and analyzed in this chapter.
