商人本質(zhì)要素:主觀意義營業(yè)——兼論商主體制度的法律建構(gòu)

【摘要】:營業(yè)是商人本質(zhì)要素之一。商法理論通說認(rèn)為,營業(yè)具有二元性,包括客觀意義營業(yè)和主觀意義營業(yè)?陀^意義營業(yè)受到國內(nèi)外學(xué)者的青睞,主觀意義營業(yè)卻備受冷落,相關(guān)研究甚少,這影響了營業(yè)在商人本質(zhì)中的規(guī)定性地位。在商人本質(zhì)要素的研究中,營業(yè)的核心內(nèi)涵是主觀意義營業(yè)。在商主體制度構(gòu)建中,貫穿主觀意義營業(yè)這一紅線,有助于實現(xiàn)商主體制度的科學(xué)、良性發(fā)展。
[Abstract]:Business is one of the essential elements of businessmen. Commercial law theory holds that business has duality, including objective business and subjective business. Objective business is favored by scholars at home and abroad, but subjective business is neglected. There are few related studies, which affect the prescriptive position of business in the essence of businessmen. In the study of essential elements of businessmen, the core connotation of business is business with subjective meaning. In the construction of commercial subject system, it runs through the red line of business in subjective sense. It is helpful to realize the scientific and healthy development of the commercial subject system.
