【摘要】：長期以來,我國缺乏環(huán)境資源保護(hù)的意識,使經(jīng)濟(jì)快速發(fā)展的同時資源浪費(fèi),環(huán)境污染等各種環(huán)境問題突顯出來,這一現(xiàn)狀要求我們在經(jīng)濟(jì)發(fā)展的同時,注重環(huán)境保護(hù),以達(dá)到社會經(jīng)濟(jì)的可持續(xù)發(fā)展。環(huán)境保護(hù)的外在壓力和公眾環(huán)保意識的逐漸提高要求我國企業(yè)對外披露環(huán)境信息,使社會公眾能夠從各個途徑了解和促進(jìn)企業(yè)的環(huán)保行為。 信息披露是社會公眾獲取企業(yè)環(huán)境信息的最主要渠道,對于市場雙方主體均具有重要意義,由此,信息披露制度成為相關(guān)學(xué)科研究的重要領(lǐng)域�，F(xiàn)有的學(xué)術(shù)研究中盡管有大量的信息披露制度的研究,包括經(jīng)濟(jì)學(xué)者、環(huán)境學(xué)者從會計學(xué)、環(huán)境科學(xué)等角度進(jìn)行了大量的實證研究,但從法學(xué)角度對建立和完善企業(yè)環(huán)境信息披露制度的研究卻很少,少有的一些研究也很少深入到立法規(guī)范層面。 我國面臨的環(huán)保壓力和企業(yè)環(huán)境信息的重要作用,要求我們進(jìn)行企業(yè)環(huán)境信息披露法律規(guī)范方面的研究。結(jié)合我國信息披露的現(xiàn)狀,上市公司是我國經(jīng)濟(jì)運(yùn)行中最具發(fā)展優(yōu)勢的群體,具有相對完善的企業(yè)組織形式和較規(guī)范的信息披露機(jī)制。對上市公司環(huán)境信息披露進(jìn)行深入研究,對建立和完善我國上市公司環(huán)境信息披露法律制度具有重要意義。 本文由解讀環(huán)境信息和環(huán)境信息披露的涵義著手,解析上市公司環(huán)境信息披露的的法理理論,指出我國上市公司進(jìn)行環(huán)境信息披露的重要性和必要性;然后,解析了國際組織和主要國家上市公司環(huán)境信息披露制度的立法規(guī)范和實踐,認(rèn)識到國內(nèi)立法和實踐環(huán)節(jié)的缺失點。最后,落腳于我國上市公司環(huán)境信息披露的現(xiàn)狀,提出構(gòu)建我國上市公司環(huán)境信息披露法律制度的設(shè)想。 本文的創(chuàng)新之處在于:(一)結(jié)合金融學(xué)、環(huán)境法和證券法知識,從法律層面解析了環(huán)境信息和環(huán)境信息披露的涵義和價值基礎(chǔ)。(二)從環(huán)境受托責(zé)任論、環(huán)境知情權(quán)理論、利益相關(guān)者理論及信息不對稱理論分析了上市公司環(huán)境信息披露法律制度的法理基礎(chǔ)。(三)借鑒國際組織和主要國家的實踐,并在分析我國上市公司環(huán)境信息披露的現(xiàn)狀的基礎(chǔ)上,從環(huán)境信息披露的對象、內(nèi)容、模式、途徑和配套制度等方面提出了建立我國上市公司環(huán)境信息披露法律制度的具體設(shè)想。
[Abstract]:For a long time , our country lacks the consciousness of environmental resources protection , makes the economy develop rapidly , resources waste , environmental pollution and other environmental problems emerge , this situation calls for us to pay attention to environmental protection at the same time of economic development , so as to reach the sustainable development of the social economy . The external pressure of environmental protection and the gradual improvement of public environmental protection consciousness demand that Chinese enterprises disclose the environment information to the outside , so that the public can learn and promote the environmental protection behavior of enterprises from various ways .

The information disclosure is the most important channel for the public to acquire the information of the enterprise environment , and the information disclosure system becomes an important field in the research of the relevant disciplines . In the current academic research , although there are a lot of research on the information disclosure system , including the economic scholar and the environmental scholar from the angle of accounting , environmental science , etc .

On the basis of the present situation of information disclosure in our country , listed companies are the most developing groups in our country ' s economic operation , and have relatively perfect corporate organizational form and more standardized information disclosure mechanism . In - depth study on the disclosure of environmental information of listed companies is of great significance to the establishment and improvement of the legal system of the disclosure of environmental information of listed companies .

Based on the definition of environmental information and environmental information disclosure , this paper analyzes the theory of environmental information disclosure in listed companies , points out the importance and necessity of the disclosure of environmental information of listed companies in China , and then analyzes the legislative norms and practices of the environmental information disclosure system of listed companies in China and realizes the missing points of domestic legislation and practice . Finally , it puts forward the idea of constructing the legal system of environmental information disclosure of listed companies in China .

Based on the analysis of the current situation of environmental information disclosure in China ' s listed companies , the paper puts forward the concrete idea of establishing the legal system of the disclosure of the environmental information of listed companies from the aspects of environmental information disclosure , contents , modes , approaches and supporting systems .
