【摘要】：獨(dú)立保函,是在近二三十年的國際經(jīng)濟(jì)活動(dòng)中發(fā)展形成的一種新型信用擔(dān)保方式,因其比從屬性擔(dān)保有著更強(qiáng)大的保障功能,從而在國際貿(mào)易中得到了廣泛的實(shí)踐和應(yīng)用。為了應(yīng)對擔(dān)保法領(lǐng)域的最新變化,在2013年年底,最高院發(fā)布了《關(guān)于審理獨(dú)立保函糾紛案件若干問題的規(guī)定(征求意見稿)》,發(fā)出了我國擔(dān)保法領(lǐng)域改革的明確信號。由于我國目前還沒有對獨(dú)立保函問題做出明確的法律規(guī)定,本文將在學(xué)習(xí)借鑒相關(guān)國際慣例、國際公約及其他國家國內(nèi)法的基礎(chǔ)上,結(jié)合我國的立法、司法現(xiàn)狀,提出在我國構(gòu)建獨(dú)立保函制度的建議。因此,此問題的研究是具有十分重要的理論意義和實(shí)踐意義。本文由四部分組成:第一章,獨(dú)立保函概述。這部分主要對獨(dú)立保函進(jìn)行基礎(chǔ)性介紹,包括獨(dú)立保函的興起與實(shí)踐,獨(dú)立保函的概念、種類、法律特征和法律關(guān)系等,并把它與其他擔(dān)保方式進(jìn)行比較。第二章,獨(dú)立保函的國際(境外)實(shí)踐。這部分是對與獨(dú)立保函相關(guān)的國際慣例、國際公約以及外國國內(nèi)法淵源、港澳地區(qū)實(shí)踐的介紹,并在此基礎(chǔ)上與我國的相關(guān)實(shí)踐進(jìn)行比較性研究,找到我國獨(dú)立保函發(fā)展可借鑒的方向。第三章,獨(dú)立保函在我國的現(xiàn)狀。這部分是從立法現(xiàn)狀和司法現(xiàn)狀兩部分對獨(dú)立保函在我國的運(yùn)用進(jìn)行分析,并在現(xiàn)狀之中找到我國當(dāng)下在運(yùn)用獨(dú)立保函時(shí)存在的問題。第四章,獨(dú)立保函在我國的構(gòu)建和完善。這部分主要論述我國在法律層面承認(rèn)獨(dú)立保函的法律效力的法理學(xué)以及經(jīng)濟(jì)學(xué)依據(jù),并對獨(dú)立保函規(guī)則的具體構(gòu)建提出立法建議和司法建議,為獨(dú)立保函的構(gòu)建勾勒出基本的藍(lán)圖。
[Abstract]:Independent guarantee is a new type of credit guarantee developed in the past twenty or thirty years of international economic activities. Because of its stronger function than subordinate guarantee, it has been widely used in international trade. In order to cope with the latest changes in the field of guaranty law, at the end of 2013, the Supreme Court issued the regulations (draft for opinions) concerning the trial of independent guarantee disputes, which sent a clear signal of the reform of the field of guaranty law in China. As China has not yet made clear legal provisions on the issue of independent guarantees, this paper will learn from relevant international practices, international conventions and other countries' domestic laws, and combine our legislation and judicial status. This paper puts forward the suggestion of constructing the independent guarantee system in our country. Therefore, the study of this problem is of great theoretical and practical significance. This paper consists of four parts: the first chapter, an overview of the independent guarantee. This part mainly introduces the basis of independent guarantee, including the emergence and practice of independent guarantee, the concept, category, legal characteristics and legal relationship of independent guarantee, and compares it with other forms of guarantee. Chapter two, International (overseas) practice of Independent guarantee. This part is an introduction to the international practice, international conventions and the sources of foreign domestic law, and the practice of Hong Kong and Macao, which is related to the independent guarantee, and on the basis of this, it makes a comparative study with the relevant practice of our country. Find out the direction that our country can use for reference in the development of independent guarantee. Chapter three, the present situation of the independent guarantee in our country. This part analyzes the application of the independent guarantee in our country from the two parts of the legislation and the judicial status, and finds out the problems existing in the application of the independent guarantee in our country. Chapter four, the construction and perfection of independent guarantee in our country. This part mainly discusses the jurisprudence and economic basis of recognizing the legal effect of independent guarantee in our country at the legal level, and puts forward legislative and judicial suggestions on the concrete construction of the rules of independent guarantee. Outline the basic blueprint for the construction of the independent guarantee.
